ESTATE PLANNING

An Estate Plan is a legally written document that explains how you want your assets divided upon your death. The Court does not recognize oral statements or promises to give property upon death. Our lawyers will draft and devise your estate plan to help you prepare an estate plan that sets out your directives for distribution of your assets to your family and friends.

Living trusts constitute our core responsibility. We seek to understand and tailor our trust plans to the specific needs and life situation for each client. These plans encompass more than a basic one-size-fits-all approach: rather, we transition to an advanced tax planning, asset protection approach for heirs and assets of the estate. This may include protection for children, spouses, businesses, and a wide array of special needs for each given circumstances of a client.

A decedent who dies without a will or an estate plan takes the risk that their property will not be distributed in a way in which they choose. Rather, they leave it up to the Court to decide how the property should be divided. This process takes a minimum of nine (9) months and can last longer than two (2) years. However, if a will is in place, the Court will distribute the assets to the beneficiaries named in the will.

An Estate Plan is a legally written document that explains how you want your assets divided upon your death. The Court does not recognize oral statements or promises to give property upon death.

Our clients range from younger generations with high degrees of potential wealth accumulation to established business owners and individuals. Our focus is on a practical and systematic approach to protect them from current threats as well as leverage future opportunities. We help our clients garner the necessary information to preserve our clients' assets for themselves and their future generations.

Stone & Sallus LLP will draft and devise your estate plan in accordance with your wishes. Our highly trained lawyers are in practice to help you prepare an estate plan that sets out your directives for distribution of your assets to your family and friends.

POWERS OF ATTORNEY

We prepare all types of powers of attorney, including financial powers of attorney and durable powers of attorney for healthcare (also sometimes called advanced health care directives or living wills).

Durable Power of Attorney for Health (Advance Medical Directive)

In the event you become unable to direct your health decisions, who will be cognizant of your beliefs and wishes? Who will run your business? Who will make your medical decisions should you become incapacitated?

End-of-life decisions and significant health decisions require a well thought out conversation to ensure the proper person will adhere to your wishes. This written document is recognized by doctors and hospitals, and is one of the most important documents you will ever sign. A written document setting forth such directives is recognized, provided it is signed, and will ensure the expression of your wishes is followed.

PROBATE AND TRUST ADMINISTRATION

If a decedent dies with a trust in place, no court administration is needed. The trust assets are administered by the person designated in the trust document (trustee). Stone & Sallus LLP will help navigate the trustee through trust administration from beginning to the final distribution of assets to the beneficiaries.
Our firm handles both simple and complex probate and trust administrations. Whether the deceased individual has a trust, left a will ("testate"), or did not leave a will ("intestate"), we work with you to navigate the required steps. This includes both inside and outside the probate process.

As disputes arise concerning heirs and beneficiaries, our experience in transaction and litigation work helps us to better serve our clients and resolve such contest. These matters are particularly challenging, as the loss of a loved one can create a catalyst for the highly charged emotional issues which accompany the process. We understand the legal and emotional intricacies, and work to resolve potential contests to ensure inheritance may be distributed free and clear to any beneficiaries of an estate.

Conservatorships are imposed over people who suffer from Alzheimer's disease, dementia, senility or serious mental problems. We recognize that a conservatorship proceeding must be handled with the utmost respect and sensitivity for the conservatee. We help guide caring people through these decisions.

BUSINESS LAW ATTORNEYS

Our lawyers work in concert with our clients to assist in all aspects of a business, public or family owned, including strategic legal planning, purchases, sales, expansion, formation, employment issues, and dissolution. We strive to help our clients enhance their businesses in a forward-thinking plan to ultimately transition the next generation into the business. We help to plan whether you are a start up or already conducting business. It is important for any attorney to address your current needs and future goals in order to provide quality legal services.

BUSINESS DISPUTES

We offer representation in business ownership disputes. These are internal disputes within companies where the owners of the business, corporation or LLC no longer agree upon management, control, or ownership of the corporation. These disputes take many forms, they involve partnership disputes, shareholder driven ownership disputes, and family owned business disputes. These disputes necessarily involve a sale of the entire business or a buy out of one owner by a co-owner. At the heart of these disputes typically is a battle concerning management, control, and the value of the company at issue.

We learn about the goals of the business, the role of the key players, and the cause and effect of the dispute. By understanding how your specific business operates, we may develop a plan tailored to your business on how to deal with the internal dispute in such a way as not to effect the long term profitability and sustainability. Whether this includes a General Partner, Owner, or shareholder, we alleviate the problem where possible, and return the focus to the health of the business.

EMPLOYMENT AND INDEPENDENT CONTRACTOR LAW

Our firm provides sound advice and strategy as it relates to employer-employee decisions and planning. We effectively advise local, regional, family, and franchise businesses as they negotiate with, hire and fire their employees and independent contractors. We assist businesses as they structure their high-level executives and staff in employment contracts, supervision policies, and minimize and appropriately manage, risk and responsibility for independent contractors.

FAMILY AND LOCAL BUSINESSES

We care about your business. Our estate planning comports with our business planning. We understand the specific goals and needs of your business and real estate matters. We regularly consult, create, and work with, a variety of businesses, so we can view your operational, day-to-day practices to minimize liability.

It is an unfortunate reality that internal and external conflicts related to a business litigation case can put a strain on business operations and individuals and redirect resources that could have been used towards more profitable pursuits. Our objective is to advise as to the most efficient and prudent course of action to reduce costs, save time, and resolve problems. In particular, families engaged in business benefit from our sensitive approach.

We listen to your concerns and goals. We focus on careful planning to avoid expensive disputes and build successful and productive relationships for businesses. However, when necessary, we will aggressively and effectively pursue litigation, cognizant of your timing and financial needs, to help resolve the matter.

BUSINESS COMPLIANCE

Stone & Sallus offers a full service approach to ensure your business is complaint with all requirements upon forming a business.

We help file the annual Statement of Information with the Secretary of State, which are bylaws requiring a shareholder and director meeting be held at least one a year to conduct corporate business and asset review. These meetings also may concern the election of officers and directors, as well as the approval of transactions which involve corporate assets.

The failure of compliance with these requirements will erode the shield of liability for the corporation owners in any lawsuit of tax audit; failure to comply may also negate any available tax deductions.

Our office will help every step of the way to secure all details of your business' compliance.
