Our core bankruptcy representations include chapter 7 (liquidations), chapter 11 (reorganization) and chapter 13 (repayment plans). For clients that do not qualify for any bankruptcy chapters, we offer out-of-court workout and debt resolution representation. Our bankruptcy litigation representation includes nondischargeability, preference, fraudulent conveyance, and avoidance actions.
We have built the practice areas of the firm based on the expertise and financial background of our founding shareholder. Ms. Naimi started her legal career as a Bankruptcy Law Clerk and following her clerkship she practiced business reorganization representing multinational corporations in large corporate restructurings.
After launching her own firm, she became a strong advocate for individuals and small business owners who struggle to make ends-meet. She regularly publishes and speaks on issues involving bankruptcy and taxation-related topics throughout the country.
Haleh Naimi is the managing shareholder of Advocate Solutions, Inc. and has served as a law clerk to a bankruptcy judge in the Central District of Los Angeles. Her knowledge and familiarity with the court system, bankruptcy and local rules also distinguishes Advocate Solutions, Inc. from other firms.
We focus on highly sensitive tax and financial representation of clients typically in financial distress and strive to accommodate the scheduling of client meetings outside of routine business hours. Clients may also schedule meetings on weekends by appointment.
Having served as general counsel to businesses, we appreciate the uncertainty and frustration associated with unpredictable fee structures. As a result, we offer primarily fixed-fee or hybrid fee (combination of fixed and hourly) arrangements for most of our representations.
Haleh Naimi is the managing shareholder of Advocate Solutions, Inc. With over 18 years of experience, Ms. Naimi's practice spans a broad range of practice areas including taxation, estate planning, business, bankruptcy, and real estate. Ms. Naimi serves as general counsel to several small businesses, provides direct representation to clients, and serves as a professional resource to clients' primary accountants, business managers, and financial advisors.
Bankruptcy: Ms. Naimi has expertise in all facets of bankruptcy, business reorganization, liquidation, insolvency, and debtor-creditor relations having represented parties on all sides of bankruptcy. She has comprehensive experience in Chapter 11 business reorganizations and has represented individuals, corporate debtors, lenders, creditors committees, fiduciaries and other parties in interest. She also represents individuals in Chapter 7 liquidations, and Chapter 13 repayment plans. Her litigation experience includes representation of both debtors and creditors in adversary proceedings involving nondischargeability, preference, fraudulent conveyance, and avoidance actions.
Tax Law: Ms. Naimi has represented owners of family businesses, small to middle market businesses, and individuals in all aspects of tax planning and controversy resolution before federal and state taxing authorities. Tax controversy cases include income reconstruction, tax-free exchanges, reallocation of income; substantiation, timing, characterization, mergers, worker classification, voluntary compliance, penalty abatement, and collections (innocent spouse, lien/levy releases, and offers-in-compromise). Planning cases include structuring real estate, business transactions and entities.
Estate Planning: Ms. Naimi assists clients with all aspects of estate planning, trust and probate administration. Her trust planning experience includes drafting living trusts, marital deduction trusts, irrevocable trusts, life insurance trusts, charitable trusts, foundations, special needs trusts, grantor retained interest trusts, and intentionally defective grantor trusts. Business succession planning has included buy-sell agreements, split interest acquisitions, private annuities, self-cancelling installment notes, management trusts, gifting minority and lack of marketability discounts.
Real Estate: Ms. Naimi has represented several well-known real estate developers in Southern California. Her services include leases, acquisitions, section 1031 exchanges, drop-and-swap transactions, construction financing, debt restructuring and loan workouts.
Business: Ms. Naimi assists entrepreneurs with choice of entity and formation issues, including preservation of intellectual property rights. Her litigation experience includes partnership disputes, fraud, contract disputes, fiduciary duty breach, and complex business torts.
