We assist businesses with the myriad of legal issues that arise when forming and operating a business. We are also experienced Chicago business litigation and tax lawyers who effectively represent businesses and business owners in commercial litigation. In addition to working with businesses, we also work with individuals in a range of personal matters including income tax compliance and audits, employment matters, real estate transactions and disputes, and trust and estate litigation.

Our Chicago business litigation and tax lawyers, Sam Neschis and Tami Tolitano, have both been practicing law for more than twenty years. Sam Neschis began his career with the New York County District Attorney's Office. He uses the trial and investigative skills that he developed working as a prosecutor to assist businesses and individuals win results in litigation matters. Tami Tolitano is a certified public accountant (CPA) as well as a tax attorney in the Chicago area. She uses her accounting skills to effectively represent businesses and individuals in disputes with the IRS, the Illinois Department of Revenue and other taxing authorities as well as to assist businesses and individuals comply with tax laws and regulations while maximizing allowable tax savings.

Our business law practice involves assisting entrepreneurs form new businesses by helping them choose the type of entity that will best suit their needs and enable them to achieve their goals. We then help new business owners by preparing agreements that will enable them to effectively work together to operate the business, reduce dissention among the owners, and constructively deal with any disputes that arise between them. We assist new and existing businesses with the legal issues that arise when operating a business such as negotiating and drafting contracts, employment issues, complying with regulatory requirements, and collecting unpaid accounts receivable. We also assist businesses with tax compliance matters and represent businesses in tax audits.

Our litigation practice involves representing businesses and individuals in all types of commercial litigation including breach of contract, commercial fraud, and unfair competition including violations of covenants not to compete and confidentiality agreements, theft of trade secrets, and tortious interference with contracts and business expectancies. We also represent businesses and business owners in disputes that arise between them including claims of breach of fiduciary duty, shareholder oppression, and deadlock among shareholders and directors. Additionally, our business litigation lawyer represents individuals across Chicago in a variety of personal matters such as real estate disputes including disputes regarding ownership of property, disputes arising out of trusts and wills including claims of undue influence and lack of testamentary capacity, and employment disputes including claims of wrongful termination. We forcefully represent our clients' interests in negotiations to resolve their disputes. However, if an amicable resolution that protects our clients' interests cannot be reached, we aggressively and effectively represent our clients' interests in litigation.

At Neschis & Tolitano, LLC, (Neschis & Tolitano), each of our lawyers has substantial experience in several different practice areas.

Samuel Neschis prosecutes and defends commercial litigation matters, including shareholder and partner disputes, and contract and fraud litigation. He also represents clients in probate, real estate, employment and art fraud litigation. A former Assistant District Attorney in the New York County District Attorney's Office, he has tried numerous jury and nonjury trials. He also assists business owners in forming their companies and addressing issues that arise during the operation of the business such as contract and employment issues.

Tami Tolitano represents taxpayers in disputes with the Internal Revenue Service (IRS), the Illinois Department of Revenue (IDOR) and local taxing authorities. She also represents clients in criminal tax investigations and cases in addition to advising and assisting clients in tax planning and compliance matters. She is also a Certified Public Accountant (CPA) and is adept at guiding businesses and individuals through all types of domestic and individual tax matters.

He has been practicing corporate and commercial law in Chicago since 2002 representing businesses and individuals in a wide range of areas including shareholder and partnership disputes, breach of contract, breach of fiduciary duty, theft of trade secrets, general employment matters, restrictive employment covenants (including non-competition and non-solicitation matters), commercial fraud, and unfair competition. He also represents clients in real estate, trust, and probate litigation and handles civil appeals.

Sam also assists business owners with forming their businesses and with issues that arise during the operation of the business including negotiating contracts, addressing employee issues, and dealing with disputes between owners.

Sam is the current chair and co-newsletter editor for the Illinois State Bar Association Business and Securities Law Section Council.

Sam is an arbitrator for the Circuit Court of Cook County's Law Division Commercial Calendar mandatory arbitration program, through which he arbitrates commercial disputes. Sam is also a certified mediator and, in that capacity, works with businesses and individuals to resolve disputes either prior to or during litigation.

Sam is also an active volunteer with Chicago Volunteer Legal Services, through which he represents homeowners facing foreclosure.

Tami Tolitano is both an attorney and a certified public accountant. She concentrates her practice in the representation of individuals, corporations, partnerships, estates, and trusts with federal and state civil tax matters. Such representation includes assistance with audits, appeals, tax court litigation and a wide variety of tax collection matters including levies and liens, offers in compromise, and installment agreements.
