Business Counseling
At the Law Offices of Stephen R. Stern P.C. as a result of our decades of experience, we recognize that no detail is too small when counseling a client. We believe, at least in business, there is no such thing as "cookie cutter," and we strive to provide our clients with documents that will enable them to go about their business seamlessly and without the interruptions caused by unclear or imprecise business forms. Our extensive representations in the corporate world starts with functioning as outside general counsel and as outside counsel to publicly held and closely held entities and has included mergers, acquisitions, asset and stock sales and purchases, joint ventures, private placements, later-stage growth capital transactions, leveraged buy outs and recapitalizations and we have been involved in numerous fields including secured lending and borrowing, financing, publishing, advertising, licensing, merchandising, distribution, vitamins and dietary supplements, manufacturing, franchising, entertainment, employment, union disputes, real estate acquisition/sale/leasing, real estate development, commercial artists, trademarks, copyrights, contract law, etc..

Real Estate
Our numerous representations in the real estate area includes acquisitions, sales, development, financing, commercial leasing and other matters relating to residential homes, office buildings, regional shopping centers, condominiums and cooperative housing, convenience stores, gas stations, franchise restaurants and retail stores, public storage facilities, triple-net lease tenancies, subleasing and brokerage agreement. The firm also counsels both borrowers and lenders in connection with workouts and restructuring transactions.

Litigation
The Law offices of Stephen R. Stern P.C. decades of experience has included the representation of sophisticated clients in all aspects of complex and non-complex commercial and business as well as real estate and estate litigation, both in New York Federal and State courts, and federal and state courts throughout the country and internationally. We also have represented clients in a wide variety of matters, including common law business disputes in contract or in tort, arbitrations and regulatory matters involving various agencies of the Federal Government such as FTC and FDA and inquiries from the United States Attorney and the FBI. The hallmark of our involvement in each of these areas is our honed skill of taking great pride in making the complex and subtle procedural and strategic decisions that so frequently mark the difference between obtaining a successful resolution for a client and a less favorable disposition. Because of our size, we are able to provide our clients with personalized attention that is so necessary in the resolution of these matters. Personalized attention that lost in our world or electronic advance but attention that most clients not only demand but seek out to insure they know who they are being represented by. As a result of our tens of year of such extensive and eclectic experience, we are able to meet the challenges posed by all cases in the foregoing disciplines.

Arbitration/Mediation
We have frequently represented clients in arbitrations/mediations and have been involved in hundreds of arbitrations/mediations throughout that Unites States and internationally in each of the legal areas detailed above. In addition to the traditional arbitration of disputes involving the members of business or professional entities (the so-called "business divorce") we also have represented business and commercial clients in the arbitration of issues that were once solely litigated in court.

Stephen Stern

Steve began his legal career clerking to the Chief Judge of the United States Customs Court and teaching courses at the University level, at Law School, and has been a guest panelist on radio shows concerning various areas of the law including Constitutional Law. Steve served as outside General Counsel for many years to a wide variety of publicly held and privately held entities, involving the entertainment, communications, publishing, dietary supplement, bodybuilding, advertising, various forms of distribution and commercial real estate industries.

A number of his most significant representations included representing:
* the interests of a major party in one of the largest estate litigations in Nassau County, New York, involving a well-known charitable family and a myriad of matters including estate, commercial, corporate, real estate, contract and other legal disciplines as well as varied a myriad of litigations and proceedings;
* numerous of the entities involved with the foregoing complex estate litigation requiring diverse litigation involving a variety of contract law matters both nationally and internationally involving many legal disciplines;
* a major party (e.g., manufacturer, distributor, franchisor, retailer, wholesale vitamin and dietary supplement conglomerate, etc.) as outside general counsel with regard to all legal issues facing the entities as well as in what was then among the largest bankruptcy proceedings in Bankruptcy Court in Trenton, New Jersey involving commercial, contract, licensing, FDA and FTC related matters, corporate reorganization and other legal disciplines all culminating in extensive mediation / arbitration / litigation;
* one of the largest advertising agencies located in NYC with offices in Chicago, Dallas and San Francisco as outside general counsel attending to the varied corporate, business and commercial legal issues that faced that entity;
* a conglomerate entity located on the East Coast and West Coast steeped in the entertainment industry involving publishing, distribution, television, theatrical motion pictures, made for television motion pictures, etc. servicing the diverse legal issues facing such an entity and its numerous subsidiaries and divisions;
* a privately held publishing entity owning more than 30 titles of magazine titles as outside general counsel requiring services that involved contract law, commercial and corporate matters as well as distribution and litigation of varied types, and
* an international federation of bodybuilders as outside general counsel attending to the corporate and other legal requirements of such an organization which was international in nature.

Additionally, during his 40 plus year legal career, Steve has been a member of each of the American Bar Association, and New York Bar Association, New York City Bar Association, Suffolk County Bar Association as well as a the Brooklyn Law School Alumni Association and New York University School of Law Alumni Association. Steve has served on numerous committees for the American Bar Association and New York State Bar Association involving topics such as ethics, lawyers in transition and financial planning for lawyers. Most recently, Steve was appointed to Chair the ABA committee on Alternative Dispute Resolutions for the Solo, Small Law Firm and General Practice Division of the ABA as well as to serve on the Advisory Committee for that Division. Steve is also the Chair of the Alternate Dispute Resolution Committee for the Suffolk County Bar Association and has been appointed as Advisor to the Study Committee on the Domestic Unsworn Declarations by the American Bar Association Solo, Small Law Firm and General Practice Division of the ABA as well as by the ABA Section of Tort, Trial and Insurance Policies. In addition, Steve was elected to serve as a liaison for the entire ABA Dispute Resolution Advisory Committee. Steve also serves as a member of the ABA’s Business Advice and Financial Planning Committee and the ABS’ Business Opportunities and Commercial Law Committee. Steve also has served as the New York State representative on the Presidential Business Commission as well as the Co-Chairman on the Presidential Business Advisory Council. He also is a member of the New York City Bar Association. Steve also is very involved with the Public Advocacy Program at Touro Law School as well as with the International Justice Center for Post Graduate Development.

Education and Bar Admissions
Steve received his B.S. from Queens College of the City of New York and his J.D. from Brooklyn Law School. He also received an LL.M. degree from the New York University School of Law Graduate Law Program in Corporation Law.

Steve is admitted to the Courts of the State of New York, United States Eastern and Southern Districts of the State of New York, United States Tax Court, United States Customs Court, United States Court of Appeals for the Second and Third Circuits.

Sloan Zarkin

Sloan joined the Law Offices of Stephen R. Stern, P.C. after spending four (4) years at Anderson Kill & Olick, P.C. and six (6) years at Reed Smith, LLP. Her practice focuses on complex commercial litigation and business disputes. She has experience litigating cases involving claims of securities fraud, violations of antitrust laws, breach of contract, breach of fiduciary duty and business torts. Sloan also has experience in employment litigation, including claims of race, age, disability and sex discrimination, retaliation, sexual harassment, wrongful discharge, violations of wage and hour laws and breach of contract. Representative examples of her employment practice include, but are not limited to, representing large universities in disputes surrounding denial of tenure, representing companies, both large and small, in sexual harassment and discrimination litigation, and matters such as drafting employee handbooks, non-compete agreements and release agreements. She has litigated in state and federal courts, as well as before the American Arbitration Association.

Sloan is a member of the American Bar Association, New York Bar Association, New York City Bar Association and Suffolk County Women's Bar Association.

Education and Bar Admissions
Sloan received her B.A. from the University of Michigan and her J.D. from Brooklyn Law School. She also received a Masters of Physical Therapy from Temple University in Philadelphia, PA.

Sloan is admitted to the Courts of the State of New York, the United States Federal Courts in the Eastern, Southern, Western and Northern District and the United States Court of Appeals for the Second Circuit.
