Mr. Effrain has worked for both law firms and corporations, serving as Vice President, Corporate Secretary and Assistant General Counsel of the health insurance company EmblemHealth and as an associate of law firms, including Stursberg & Veith and Pomeranz, Gottlieb & Mushkin, providing corporate law and general business counsel to a host of clients, including startup ventures, established businesses, not-for-profit entities and public companies. Mr. Effrain earned an LL.M in Corporate Law from the NYU School of Law, a J.D. from George Washington University Law School, and a B.A. in Economics and Political Science, Magna Cum Laude, from the University of Maryland. Mr. Effrain is admitted to practice law in New York.

If you are considering setting up a business, Mr. Effrain will work with you to determine the best jurisdiction to form it under and the type of entity that will best achieve your objectives. Mr. Effrain will also review proposed names and advise you on various startup legal issues and considerations in an economical and rational manner. Mr. Effrain recognizes that startup ventures have limited resources for legal operations and works with clients to keep the legal expense minimal and inline with expectations. Once a business is formed, the entity may need a shareholder or operating agreement to define the rights and obligations of the different principals, employment or consulting agreements for any employees or contract workers and its own business contracts to sell or develop its business and vendor contracts for needed third party services. Mr. Effrain has years of experience helping clients prepare all of these business startup and development type agreements.
