We are a law firm serving the needs of businesses throughout California and the United States. Our firm handles the litigation and transactional needs of businesses and entrepreneurs.

We prosecute and defend all types of lawsuits from simple breach of contract disputes to complex civil litigation between businesses and business owners. Our attorneys have substantial experience defending companies and individuals in business litigation, professional liability matters, real estate disputes, employment lawsuits, and proceedings arising out of construction projects. We understand how to assess cases at the early stages of litigation and provide appropriate liability assessments and budgets. Our firm is knowledgable in preparing legal strategies that are effective, efficient, and lean.

Our non-litigation work includes business formation, contract drafting, mergers and acquisitions, trademark filings, employee agreements, business succession planning, and day to day legal advice for business owners. We understand that for businesses to be successful they need to plan ahead. Our firm prides itself in providing advice and counsel that will prevent litigation.

What are your firm's strengths and style?

Our firm was founded on three primary values:

1. Take care of the client: We recognize that without successful clients our business will not survive. Accordingly, we strive to learn the client’s goals and craft our solutions to achieve the client’s objectives. We provide what the client wants; thoughtful and sound legal advice and advocacy that incorporates long term thinking.

3. Be cool with each other: We know that practicing law is stressful profession. Yet, we also understand that a team environment where everyone can count on each other leads to success. That’s why we insist on maintaining a harmonious office that rewards our team members for their success.

How frequently does your firm use mediation, arbitration, or collaborative law to resolve cases?

Mediation, or alternative dispute resolution or settlement discussions, are often used by our firm. The goal is to pursue the best outcome for the client, and that can take many forms. Attorneys need to be flexible and creative, and have many different options to achieve the best outcome.

Arbitration may be contractually required, or it may be something the parties choose. Certain cases may be best suited for arbitration, whereas others may be best put in front of a jury of the client's peers. There can be very different procedures between arbitration and 'regular' civil litigation in court, so the client needs to understand the material differences and how they can impact the outcome.

Is your firm willing to review documents prepared by clients?

Yes. We're more than happy to review documents prepared by clients. However, as a cost saving measure having a client prepare their own documents usually does not result in a savings in cost and time. Good transactional lawyers think of a multitude of potential outcomes for each section and sometimes sentence in an agreement, so if what is at stake matters it makes sense to have it done professionally and by experienced transactional legal counsel.

What experience or education distinguishes your lawyers from others?

Both Derek C. Decker and Shawn M. Krogh have handled both litigation and transactional matters throughout their careers. Having a depth of knowledge in both how disputes are settled in court, as well as how to prepare legal agreements and documents, gives better insight into how best to protect the client. Seeing how a contract that was drafted is attacked in a lawsuit helps an attorney draft those same agreements. Similarly, preparing a complex agreement helps an attorney understand the nuances of a lawsuit involving those types of agreements.

In addition, both partners have handled a lot of very fast paced, complex, and aggressive lawsuits. Litigation is by nature an adversarial process, and experience working on difficult cases is of great benefit. Our firm has opposed law firms representing state entities to multi-national corporations, giving us a depth of experience.

Does your firm provide pro bono legal services or otherwise participate in your community?

Yes, we have a strong presence in our community. Our attorneys currently are, or have been, pro bono counsel for the Sacramento Midtown Business Association, members of the Downtown Partnership, Sacramento Area Human Resources Association, Sacramento Regional Builders Exchange, and Running for Rhett (a non-profit funding fitness programs for children). In addition, we sponsor multiple events each year, including the Sacramento Business Journal's "Fastest Growing Companies", KVIE art auction, and various Women Lawyer's events.

My primary practice areas are business litigation, entity formation and transactional work, employment defense, real estate, contracts, and what is often called "business divorces"; disputes and dissolutions of shareholder, member, and partner relationships.
