Whether it be buying or selling a business or real estate, leasing a house or office, hiring employees,starting a business, lending or borrowing money, or drafting a will or trust for the benefit of your loved ones, proper care and knowledge must be accorded to the preparation of the requisite contracts and agreements. We have over twenty years of experience in drafting numerous documents to protect our clients. Business/Corporate Law Our corporate practice covers a broad range of transactional and advisory work. We advise clients on a multitude of business and legal issues,including corporate structure, drafting all necessary contracts and agreements, mergers and acquisitions, shareholder buy-outs, strategic alliances, joint ventures and asset purchases and sales. We also counsel directors and officers on issues related to change of control, personnel and management, indemnification rights, accountability, privacy and other general policy and practice issues, including the legal ramifications of proposed business endeavors. Residential Real Estate Buying or selling a home is often a daunting and expensive experience, fraught with fear, emotion and, most of all, important financial implications. To alleviate the experience,we work closely with buyers and sellers in order to facilitate a smooth purchase and sale transaction, with as little pressure and stress as is possible. In addition, we also maintain close business relationships with many real estate industry professionals that my clients may need to preserve property value, including appraisers, inspectors, engineers and mortgage brokers. Leasing We handle all aspects of leasing work, both commercial and residential, for landlords and tenants. Our leasing experience involves representing both landlords and tenants in the office, retail and industrial areas, which experience enables me to quickly identify, evaluate and mitigate potential risks and recommend valuable solutions. General Counsel A good business idea is just the beginning. Starting a business requires sound, experienced legal guidance. Business owners have a number of legal matters that must be addressed when starting a new business, including licensing, drafting and executing agreements, documenting transactions and creating business entities to conduct business. We understand that people starting a business are often cash-strapped, pouring any available resources into their new venture. With that in mind, we provide cost-effective general counsel services to startups, small business and entrepreneurs in a wide variety of industries. Wills, Trusts & Estates Whether it's drafting estate planning documents (Wills, Trusts, Powers of Attorney, Health Care Directives) or other documents, reviewing documents already in place, or utilizing a particular document or document provision, we can help you. As a beneficiary or administrator of an estate or trust you may have concerns about whether the document is appropriate (i.e., was the person who signed the document competent, was he/she subject to undue influences, etc.?) or whether the administration is being handled appropriately. The firm has very successfully represented clients regarding will contests and estate and trust disputes, collaborating with a highly-experienced trusts and estates litigator, when necessary.
