Peter H. DeLoof

PETER H. DeLOOF is a founder of the firm who specializes in the areas of real estate, commercial lending and finance, business entity formation and operation, business law, and structured workouts. Peter has handled numerous property acquisition, disposition and financing transactions throughout the State of Michigan and the United States. Clients include both local and national real estate investors and developers. He has extensive experience in lending and financial transactions on behalf of both institutional lenders and a wide variety of borrowers. He has also assisted national and local developers regarding zoning and planning issues and procedures.

Peter graduated from Calvin College and Seminary in 1964. He obtained his Juris Doctor from Wayne State University in 1967. He is a member of the Real Estate, Business Law and Taxation Sections of the State Bar of Michigan. He is consulted as and has acted as an expert witness in his practice areas. He is a licensed real estate broker and a licensed residential builder in the State of Michigan and is a formerly licensed title insurance agent.

Peter is also active in his community. He currently serves as the Vice-Chair of his local planning commission, is on the Board of Directors of the Legacy Land Conservancy, is an alternate commissioner of the Manchester Area Joint Planning Commission, and serves on the Southwest Council of Governments, a regional planning intergovernmental organization.

As a trained, certified mediator and facilitator, Peter has served in those capacities in alternative dispute resolution proceedings.

Mark A. Hopper

MARK A. HOPPER is a founder of the firm with over 30 years of experience in civil trial practice in State and Federal courts. He also works in arbitration, mediation and other forms of alternative dispute resolution and concentrates his work in the areas of complex contract, commercial and other business and real estate matters. Mark also engages in specialized constitutional litigation between public school districts and local units of government as well as enforcement and defense of post-employment claims regarding non competition, trade secrets and confidential information, non solicitation and other business torts, along with business dissolution dispute resolution. Clients and past clients include businesses (large and small), banks, professionals (physicians, lawyers, engineers and architects) and public school districts. Mark is an approved Case Evaluator for the Washtenaw County Circuit Court is a trained mediator and holds a superior Martindale Hubbell peer review rating of AV, where his legal ability has been rated as "very high to pre-eminent" with "very high" ethical standards.

Mark graduated from Michigan State University in 1974 with a B.A. in political science and an area study in Russian history, obtained his Juris Doctor from Thomas M. Cooley Law School. He is a member of the State Bar of Michigan (Litigation Section) and the bars of the United States District Court for the Eastern District of Michigan, the United States Court of Appeals for the Sixth Circuit and the Supreme Court of the United States. In addition, Mark is a member of the Washtenaw County Bar Association where he served as president of both the Young Lawyers and Federal Practice Sections.

In addition, Mark has represented tier 1 and tier 2 automotive suppliers in litigation and has had extensive experience working with engineers on technical construction issues.

Having been very active in his community, Mark served on the City Council of the City of Saline, Michigan for six years, then as Mayor for an additional four years. In that service, Mark was actively involved in planning the expansion and development of the City's industrial, commercial and residential sectors, and served on numerous boards, committees and commissions. He concluded his active service to the community by serving six years as a Trustee on the Board of Education for the Saline Area School District.

Dana A. Dever

DANA A. DEVER, also known as Dan, is a general practitioner and problem solver with a broad range of experience and expertise. He has been active in the practice of law since 1974, with emphasis in the areas of real estate, contracts, business matters and formation, negotiations, and select areas of civil litigation. His real estate practice includes purchase and sale of residential and commercial properties, leasing, property development and dealings with governmental approvals such as zoning and site planning, and litigation involving real estate and tenancies. In addition to his law license, he is a licensed Michigan Real Estate Broker, and was previously a co-owner of a title insurance agency. His real estate clients have included buyers and sellers, landlords and tenants, developers, contractors, title insurance companies, and claimants against title insurance companies, in transactional and litigation matters. Dan's litigation experience includes civil disputes between individuals and companies, actions against or actions defending against governmental entities involving businesses and properties, Probate disputes such as inheritance matters and Will contests, and domestic relations (divorce) matters centering upon property, debt, and issues not primarily focused on child custody.

Dan is active in the Ann Arbor and surrounding community. He has served for many years on Board of Review dealing with appeals of property valuations for the Township in which he resides. While residing in Ann Arbor, he served on various City Boards and agencies. Thomas M. Wright

THOMAS M. WRIGHT is a principal member of the firm who specializes in insurance defense and commercial litigation. His practice includes insurance coverage disputes, commercial and residential premises liability, third-party auto negligence, construction accident claims, and business disputes. Tom has compiled a successful trial and appellate record including the recently published case of Taylor v Mobley, 279 Mich App 309, 760 NW2d 234 (2008). Tom graduated from Carleton College, Northfield, Minnesota, in 1980. He obtained his Juris Doctor degree in 1989 from Loyola University of Chicago School of Law. He is a member of Michigan Defense Trial Counsel, Defense Research Institute, State Bar of Michigan, and the Washtenaw County Bar Association.

Tom leads an active life outside of the law which is focused on his three young sons and his wife, a local general surgeon.

Robert J. Babcock

Robert J. Babcock is Of Counsel in the firm of DeLoof, Hopper, Dever & Wright, PLLC. He graduated from the University of Michigan and Wayne State University Law School. Mr. Babcock focuses his practice in the area of family law. His practice in family law includes the important issues of divorce, child custody, parenting time, guardianships, and both child and spousal support.

While the main focus of Mr. Babcock's practice is family law, he also has first hand experience in the restaurant industry, as a long term owner-operator and now as a qualified court appointed receiver. Mr. Babcock understands the issues related to the industry and is uniquely qualified to represent his clients in this area.

Mr. Babcock is also experienced in other areas of practice including commercial litigation, contracts, real estate issues and tenant landlord disputes.

Terrance P. Conlin

Terrance P. Conlin is of Counsel to the firm. Mr. Conlin has been practicing law for 34 years, primarily in the area of commercial transactions, hospitality and license beverage law. He concentrates his practice in areas of business law and administrative and regulatory law, with significant emphasis on representations of members of the food service and hospitality industry in obtaining liquor licenses. For his entire 34 year career Mr. Conlin has represented multi unit food service operators doing business in the State of Michigan as well as independent on premise and off premise licensees in the state as well as many golf courses, resorts and hotels. He is a member of the State Bar of Michigan and the Academy of Hospitality Industry Attorneys. C. Nicholas Dever

C. NICHOLAS DEVER is "of counsel" to the firm. He earned both his Bachelor of Business Administration and Juris Doctor Degrees from the University of Michigan. He has had a varied legal background and now concentrates most of his practice in the areas of real estate as well as estate and trust planning and administration. His experience includes acting as counsel for title insurance companies, representation of numerous condominium associations, a bank in regard to its financing of cooperative housing loans as well as representation of individuals and businesses in the acquisition, financing , construction, sale and leasing of both commercial and residential real estate. His work in estate planning and administration has included drafting of documents as well as representation of creditors, beneficiaries, fiduciaries and, on occasion, acting as a Personal Representative, Conservator, and a Trustee. Gary L. Hahn

Gary attended Kalamazoo College in Kalamazoo, Michigan, from which he received his Bachelor of Arts degree in 1971. During 1971 and 1972, Gary had a Fulbright Scholarship and he studied economics and the German language at Albert-Ludwigs-Universitt in Freiburg, Germany. From 1972 through 1976, Gary attended law school at The University of Michigan in Ann Arbor, Michigan, and received his Juris Doctor degree in 1976.

Gary engaged in private practice in Ann Arbor from 1976 through 1980. From 1981 through 1986, Gary served as Vice President and General Counsel for Data Scan, Inc. and Data Scan Services, Inc., two related Michigan corporations which sold and serviced CT Scanners. Since 1987, Gary has engaged in the private practice of law in Ann Arbor. He has been admitted to practice in all courts in the State of Michigan and in the Federal District Court for the Eastern District of Michigan.

Gary has practiced law and has been involved as a shareholder, officer and/or director of local businesses for the past 30 years. His law practice concentrates in the areas of corporate law, commercial law, and real estate. His law practice has included work with clients that write computer software, clients that do real-time testing of automobiles and automotive equipment, clients that sell and service high technology medical equipment (CAT scanners and MRI), clients that make and use special packaging equipment, and companies that sell, lease and develop real estate.

Gary has served as a member of the City Council and the Planning Commission in Saline, Michigan. He has also served as a Board Member and the Chairman of the Board of Directors of the Ann Arbor Center for Independent Living, an organization that works with people who have physical and/or mental handicaps. He is one of the founders of Maple Creek Development Corporation, and Bodega Development, LLC, which are two different real estate development companies. He has spoken to many groups on business organization and incorporation.

Thomas E. Dew

THOMAS E. DEW has extensive experience in advising clients in all areas of federal tax law, including income tax, corporate tax, partnership tax, employee benefits, estate and gift taxation and the organization and operation of tax-exempt organizations (both private foundations and public charities). Mr. Dew has over 25 years' experience handling tax disputes, appeals and United States Tax Court litigation. Mr. Dew also has extensive experience in counseling "start-up" and emerging business entities; arranging business financing (including venture capital negotiations and equity private placements); mergers and acquisitions; business purchases and sales and business succession planning. He also serves as general counsel to numerous small and mid-size corporations and limited liability companies. In addition to his business and tax practice, Mr. Dew has extensive experience in estate and trust administration; assists clients in asset protection planning; and designs and implements highly sophisticated estate planning of all kinds. Mr. Dew has over five years' experience with the Internal Revenue Service; serving both as a Revenue Officer responsible for the collection of unpaid federal taxes and later as a Revenue Agent, specializing in the examination of federal estate tax and gift tax returns. He also has six years' experience as a Vice-President at the Ann Arbor Trust Company (now KeyBank), handling estate planning, estate administration and trust tax matters.

Mr. Dew is a member of the State Bar of Michigan, the Washtenaw County Bar Association (where he is a past Chairperson of the Tax Section), the Washtenaw Estate Planning Council (where he is a past President), and the New Enterprise Forum. He also has served as an investigator for the Michigan Attorney Grievance Commission and is the Chairman of a Washtenaw County discipline hearing panel of the Michigan Attorney Discipline Board. He is a Fellow of the Michigan State Bar Foundation and his biography is listed in Who's Who in American Law and Who's Who in America. He also has served as the President of the Ann Arbor Public Housing Commission as is a former Trustee of the Ann Arbor Area Community Foundation. He has also served as an Adjunct Professor of Law at the Ave Maria School of Law in Ann Arbor, and currently is an Adjunct Professor of Law at the Thomas M. Cooley Law School. Frank W. Parkinson

FRANK W. PARKINSON is a seasoned legal professional with 25 years of experience ranging from sole practice to working for two of the largest law firms in the country, Sidley & Austin and Skadden, Arps, Slate, Meagher & Flom. Frank's transaction-based practice has included a broad range of real estate, corporate and commercial lending matters, as well as the representation of a variety of corporations, developers, lenders, investment banks, venture capital and private investors. Frank has extensive experience in drafting and negotiating a diverse assortment of contracts and agreements relating to matters involving corporate formation, acquisition, disposition and financing transactions; purchase, sale, construction, financing and operation of commercial, residential and retail projects; leasing on behalf of landlords and major tenants; real estate secured lending; as well as workout and debt restructurings on behalf of lenders and borrowers.

In addition, Frank is a passionate advocate and volunteer, having spent the past four years actively involved with The Climate Project, an international non-profit organization dedicated to raising awareness and understanding of the issues surrounding climate change, and the tremendous economic opportunities afforded through clean technologies, energy efficiency, green building, clean technology and alternative energy solutions.

Active in his community, Frank serves on the board of Intentional Communities of Washtenaw, a non-profit organization formed to provide housing and community options for adults with disabilities. Michael G. Milliman

Life-long Ann Arbor resident, MICHAEL G. MILLIMAN, is dedicated to both the local A2 community and all of Metro Detroit. With over a dozen years of representing individuals and businesses, Mike's focus is not only on providing his clients with exceptional legal services, but also on building long-standing partnerships with them. After graduating law school and passing the bar, Mike earned an LL.M. degree in Taxation from Wayne State University Law School, one of the top-rated tax law programs in the country. He has extensive experience in advising his clients on all levels of estate planning, from simple wills to complex trust agreements. He represents both new companies at the formation stage, and serves as general counsel to long-standing, established businesses.
