Carpenter Wellington (CW) [primarily] provide general counsel services, and a full suite of corporate and commercial transactional services. Our clients engage us to partner with them to handle either overflow requirements as necessary, whereby we handle outsourced portion of the business or a certain number of contracts (for example), or our clients outsource all day-to-day and/or comprehensive GC duties (including overseeing legal/contract resources). What is clear from clients is that the operational costs for my services continue to be more cost effective than employing a paralegal/contract manager in most current markets (when you include benefits, bonus, potential HR issues, etc), let alone a well-qualified attorney, while providing the consistency, expedience, and experience of a General Counsel. This is where we add value to our clients' company. We can assist and add value, with clarity and certainty around corresponding fees. On a day-to-day basis, CW provide the review of redlined and third party contracts, direct negotiation of contracts with opposing party/counsel, and preparation of certain customized contractual documents. Our range of general counsel services include going beyond commercial requirements to include all day-to-day business and legal issues, which often include HR, disputes with third parties, as well as proactive project initiatives (which recently has been a lot of GDPR/Data Security considerations). Where there are significant budgetary constraints, we provide General Contact Services, which provides unlimited monthly calls, emails, and IM, (including a standing weekly 30 minute call), for questions, ideas, strategy. Alternatively, we have audited clients' existing legal and contractual documents, and put in place an escalation for review therefore ensuring only material deals are escalated for legal review. Ryan Carpenter serves as Attorney and Managing Director of Carpenter Wellington. Ryan advises clients across a broad set of industries, on a wide range of corporate and commercial matters including intellectual property, corporate compliance, M&A, technology and sourcing, and complex business transactions, that include development and license agreements, services agreements, technology SaaS and license agreements, outsourcing, joint ventures and strategic partnerships.
