The California Secretary of State has announced a change in its LLC formation forms and procedures. Starting January 1, 2013, articles of organization must include the LLC's mailing address. The Secretary of State's current Articles of Organization form, Form LLC-1, does not include a field for the mailing address, but the Secretary of State is expected to come out with a new form shortly, before the first of the new year. Check the forms section of the Secretary of State's office for a new LLC-1 form before you file in 2013.
In addition, if you want a certified copy of your articles of organization, add another $5 to your filing fee, or $11 for two certified copies. As of January 1, 2013, the Secretary of State will no longer include two certified copies with your filing fee; instead, the agency will send you just one uncertified copy of your articles of organization.
The Secretary of State has also published a new LLC-12 form, Statement of Information, to add space for your LLC's mailing address. The Secretary of State will no longer accept the old LLC-12 form. This form has to be filed within 90 days of forming your LLC and every two years thereafter.
