What happens if we forget to hold an annual meeting?

My husband and I just formed a Texas corporation this year, of which we are the only shareholders and directors. We forgot that we had, in our bylaws, set the annual meeting for the first Monday in December, which is already past. What is the best way to handle this now?

Answer:

It's reassuring somehow to know that while many things are bigger in Texas, memories are not necessarily among them.

Why not just hold the meeting now, and show in the minutes that the meeting was held late? Realistically, no one is likely to complain. And your records will remain accurate.
