It is imperative that entrepreneurs undertake the initial preparation and evaluation of their legal needs through available resources that offer general legal advice. Entrepreneurs increase their potential for success and reduce costly errors that occur during formation and business operations through self-education. Prior to consulting with an attorney or accountant, we advise clients that their understanding of basic accounting and legal matters will be necessary for the successful implementation of business and legal strategies. As a lawyer and entrepreneur, I advise clients that a business' success will largely depend on the entrepreneurs efforts early in the process.
Generally, I will ask clients to prepare a bullet point outline of the business transaction and general business terms of the deal. Typically, a non-lawyer drafted agreement will require additional time and effort from the client and attorney. I prefer to use the client's working agreement as a template for drafting the agreement that will ultimately govern the transaction or relationship.
Absolutely. Many of our clients have years of business experience and/or achieved advanced degrees in business, such that only limited representation during their business negotiations is necessary. Generally, we are asked to draft the agreement once the letter of intent or memorandum of understanding has been signed and the parties' business strategies are complete.
My personal goal was to assist small farmers in Southern California with their business needs, particularly in negotiating with produce brokers.
International and domestic business experience as a founder and executive officer, extensive legal experience in transactions and being a board member of private companies and public interest organizations have all helped me to be a better lawyer.
