Continuing Education

I always exceed the minimum number of hours of continuing professional education required by the State Bar of Georgia, and establish annual goals for deepening my understanding of some aspect of the practice through a course of professional reading and attending extended seminars sponsored by the American Bar Association.

Example Cases

Over the last several years, I've handled private equity investments in shipping centers in several Southeastern states, raw land assemblages requiring services ranging from quiet title actions to road closures, and a $116 million buy-out to resolve a shareholders' dispute involving a closely-held technology business. Recent transactions include:

The organization of an affiliated pair of start-ups formed to purchase the industrial real estate and operating assets of an inner-city recycling operation, including the negotiation of separate loans to finance the acquisition and a non-qualified deferred compensation package for executive employees;

Formation of an enterprise to purchase a basket of patents, software, copyrights and other intellectual property developed by a bio-tech start-up, including the negotiation of a "common interest arrangement" to mitigate the risk of losing the protection of the attorney-client privilege attaching to confidential information disclosed in the course of investigating the validity of the seller's patent claims;

The successful purchase of the assets and inventory of a retail liquor store pending an emergency receivership of its landlord's retail shopping center;

The merger of a pair of family-owned regional utility construction contractors to facilitate the retirement of one family group, financed, in part, by a leveraged buy-out of their shares by an incoming, unrelated investor.

We meet the needs of the business community for advice, counsel and advocacy in (1) extraordinary transactions such as buying, selling and financing the business enterprise and its assets; (2) commercial real estate development, finance and operations; (3) zoning and land use matters, including licensing, permitting and governmental relations; (4) tax and estate planning and administration; and (5) commercial and general litigation, including trial advocacy and appellate litigation.

With my background in corporate and tax matters and working relationships born of previous experience with major Atlanta law firms, I concentrate on business and commercial real estate transactions and tax and estate planning, including start-ups, acquisitions and sales of closely-held business, tax-free mergers and reorganizations, asset purchases, leveraged buy-outs and joint ventures and partnerships in a wide range of industries.

Lipscomb Johnson was established in 1971 and has developed a regional reputation for effective representation in commercial and business law, with particular skill in commercial real estate transactions, zoning and land use law, and includes a number of distinguished alumni presently serving as judges and public officials.

Previous Employment Summary

I've practiced corporate law in Atlanta and the surrounding metropolitan area since 1988, initially with Nall & Miller, LLP, and later with Robert W. Fisher, P.C., a tax boutique instrumental in the creation of Nextel and a number of international ventures in the telecommunications industry. Prior to attending law school, I worked as a professional staff member with other leading Atlanta law firms, including King & Spalding, LLP and Kilpatrick Stockton, LLP, gaining invaluable experience working with public corporations such as The Coca-Cola Company and SunTrust Bank and investment banks including Goldman Sachs and SunTrust Robinson Humphrey.

Activities and Awards

Over the years I've been a Rotarian and active on a number of church, community and state boards, including the Georgia State Service Council of the American Red Cross, the Younger Law Alumni Committee of the University of Georgia School of Law, the Walton County Commission on Children and Youth, and the Walton County Comprehensive Plan Task Force.

What is your opinion regarding clients educating themselves on legal issues?

My favorite clients - who often become personal friends and enduring professional associates - are those who become engaged and focused on the legal as well as the business aspects of a given situation or problem. Their understanding and perceptions almost always both improve the efficacy and outcome of negotiations and the creativity of the solutions and also reduce the ultimate cost of our legal services.

Absolutely.

Are you willing to coach clients who want to represent themselves?

I do, and most often find myself acting in a supporting or coaching role either when I'm working with seasoned investors or executives accustomed to making judgment decisions and perfectly capable of representing themselves, or when I'm working with someone in the shadow of insolvency, where financial constraints dictate careful use of legal resources, and the client often "presents" better without a lawyer when negotiating for financial concessions.

Why did you decide to be a lawyer?

I grew up in a family of New England town business owners, including my father, who was a practicing lawyer. Before going to law school, I had the privilege of working at a couple of Atlanta's large corporate law firms and discovered the intellectual stimulation of competitive negotiation and a sense of vocation in solving difficult business problems. It's fun to be part of a really first-rate, professional, effective team - which is where I strive to be with everyone I represent.

What work experience and education helps you be a better lawyer?

I've had rich and varied educational and professional experiences that I think help me connect easily with people from all walks of life both emotionally and intellectually. I grew up in small town public schools but finished my basic education in an Ivy League college. I started my professional career at one of Atlanta's premier international law firms, but also spent five years in solo practice in a classic Southern mill town, working as a public defender and trying Court-appointed cases involving charges of arson, child molestation, aggravated assault and other felonies. Along the way, I've acquired a depth of practical experience in helping people deal with other people, solve their problems and reach their objectives.

Why did you decide on your primary area of practice?

I enjoy creative activity and find something inherently rewarding in helping people plan, structure and execute business transactions.

What do you like best about your career?

Working with others to build lasting value.

Tell us about your law firm:

I work with a small group of like-minded lawyers in an energetic but collegial setting. Some of our clients are national developers, architects and investors; others are local landowners my law partners and their families have known for generations. We make every effort to work with all of them personally and directly, without layers of junior associates and without the pretense typical of large law firms.

What are your strengths and style?

I like to think I bring clarity to the situation, that I'm both steady and creative, offering insight born of experience and a preference for the practical; personable and reasonable, yes, but tenacious and thorough as well.

I want clients to feel comfortable and in control of their legal costs. To that end, I offer fixed fee arrangements when the circumstances warrant. I look to clients for guidance in budgeting time, and make every effort to keep costs to a minimum consistent with their objectives.

Free Initial Consultation?

I do not charge for social interaction or the early stages of an initial meeting that involves a prospective consultation about a given situation and an assessment of whether we will be a good fit. I generally address fee billing in the course of an initial meeting; if we concur on proceeding, I bill for my services from that point forward.

Typical Retainer

I generally request a retainer only if a matter is likely to involve a major time commitment over a short period, or if the fee billing arrangement involves a fixed fee or negotiated fee arrangement.
