We are professionals who possess in-depth knowledge about the functions and fundamentals required to run any business successfully. We prefer to work with businesses that have $4 million to $100 million in revenue or assets. The majority of our practice is devoted to publicly traded corporations.
After working for a medium-size firm in Texas and a large firm in California, I opened my own firm in August 1993. In 1999, Ms. April Frisby joined the firm. We have been partners since January 1, 2002.
After law school, I worked for a 40-person law firm in San Antonio, Texas, called Foster, Lewis, Langley, Gardner & Banack. I took time off to attend graduate-level business school and received an M.B.A. from the University of Southern California in July 1992. I worked at a large international law firm in California called Gibson, Dunn & Crutcher. Then, I started my own firm.

A well-informed client leads to more opportunities and more effective case results.
We often review documents prepared by our clients. We add value to the process by sharing our experience and knowledge with them.
We are willing to coach clients who want to represent themselves. We see better results when clients learn to represent themselves on repeat activities such as annual and quarterly regulatory compliance, corporate minutes, share issuances, employment agreements, renewal contracts, and outside fund-raising.
I decided to become a lawyer so that I could understand the constraints, limitations, and opportunities of persons and activities under the rule of law. I wanted to understand how the game of business is played, how the score is kept, and how to succeed as an employee, manager, owner, and player of the game.
I believe that I am a better business lawyer because, early in my career, I represented creditors and debtors in Texas during the Savings and Loan crisis of the late 1980's. I have seen relationships created by business agreements fought over during litigation in state and federal court, including bankruptcy court. As a result of my graduate business education and operating several businesses, I understand the business reports and record-keeping requirements to comply with generally accepted accounting principals and the double entry accounting relationships of the balance sheet, income statement, cash flow statement, and statement of changes in stockholder's equity for publicly traded companies.
I enjoy working with business people to solve complex problems using limited resources. I enjoy helping others understand the functions, fundamentals, and opportunities to increase revenue, cash flow, and net assets with proper management and appropriate risk taking.
The best thing about my career is that I get to pick and choose who and when to help under circumstances where the work I do is necessary, valuable, and done well.
This firm consists of me and my partner, April Frisby. Clients deal primarily with one of us, but each of us has the knowledge, skill, and experience to assist any client of the firm.
We speak to clients with honesty, objectivity, and candor. We are quick to understand and articulate the issues facing the client and the range of choices the client has to solve these issues.
I like to spend time with my wife and four children. I like to play tennis and read. I also like to learn new things and strive to strike up a proper balance between existing relationships and new adventures.
