I tend to exceed the required continuing education hours. As someone who likes to stay up to date with current events, I think the seminars serve as great opportunities to learn about the most up to date legal strategies and issues, which is especially important in the field of new media. What's more, at these seminars, I have the opportunity to meet with various representatives from companies who, although not lawyers themselves, are in charge of legal affairs in their respective companies. As an attorney providing in-house counsel-like services to companies, I enjoy conversing with these representatives and this provides me with insights into the practical legal needs of small to mid-sized companies and thereby, enabling me to better serve my clients.
During recent coursework in intellectual property licensing, I learned about the differences in the treatment of joint ownership in the fields of copyright versus patents, domestic versus abroad. This knowledge has helped me advise a software developer client against entering into a joint development effort with a foreign party which terms would have (unjustly) deprived my client of ownership rights in their software.
I have worked with businesses at every level from the smallest and newest to governments and Fortune 500 companies such as Microsoft, Electronic Arts, Major League Baseball, major record labels, Conde Nast, Getty Images, PBS, Playboy Enterprises, East Timor government, Copyright Office of Liberia and Icahn ventures.
Corporate and Finance:
Assisted a startup by:
• setting up a formal corporate structure to incorporate pre-existing directors, officers and initial investors relationships and securities law compliance (involved 20+ investors located in 6 states, accredited and non-accredited);
• representing the startup in its immediate and first venture capital financing and
• preparation for immediate next round financing of up to $5 million
Software Development, Licensing and IP:
Assisted a video game studio through:
• negotiation of development and licensing agreements with major game distributors and publishers;
• copyright and trademark registrations of marks and proprietary materials; and
• drafting of agreements and releases for its executives, programmers, graphic designers, music track composers, sales and marketing personnel and interns.
Web 2.0, E-commerce & Privacy:
Assisted a toy manufacturer in:
• obtaining rights clearance to all contents posted on manufacturer's website and
• drafting of all website terms of use, privacy and e-commerce terms.

Represented a seasoned U.S. music producer in the negotiation of new media publishing rights with a renowned Beijing wireless entertainment company.

Launched in 2004, CyberlawStudio started out in a studio in Manhattan, advising startups and individual artists via the internet on legal issues relating to corporate, internet and entertainment law. Eventually, to accommodate the growing needs of its clients, CyberlawStudio transformed itself from that of a virtual law office to a brick and mortar law firm in 2005. Since then, to provide clients with access to legal and professional services similar to that provided by a mid-sized general practice law firm, CyberlawStudio has established relationships with lawyers and professionals abroad (Europe and Asia) and domestic (New Jersey, Connecticut and Miami) specializing in the areas of foreign intellectual property and corporate law, patent, real estate, tax, litigation and accounting to meet the clients' needs as they arise. In 2008, CyberlawStudio became the IP and New Media division of Di Santo LLP, a full service law firm providing sophisticated legal representation to established and emerging businesses with offices in New York, Miami and affiliated office in Rome.
With my previous large firm experience and work history as a tech startup's general counsel, my goal is to provide legal advice to startups, small and mid-size businesses and individuals in a way that is practical, accessible and cost-effective, with quality commensurate to that of a large firm but tailored to the needs of the specific client at hand.
I Advise Clients On:
? the initial setting up of a company, such as choosing the suitable legal entity to incorporate, defining directors, officers, employees and shareholder roles and rights and preparing the necessary documents;
? any financing transactions involved, whether it be venture capital, angel investor, friends & family, or debt/bridge financing and securities compliance (SEC & blue sky);
? mergers, acquisitions or sale of company's /business's assets; and
? intellectual property, technology and entertainment law, such as the production, publishing or licensing of music, videos, software or games, whether it be via the internet, TV, podcasts, mobile phones or other forms of media and any copyright or trademark issues involved.
Beginning in 2001, I practiced for several years as a corporate and securitization lawyer with the Wall Street law firm of Cadwalader, Wickersham and Taft LLP, the oldest law firm in the U.S.. working with major investment banks such as Morgan Stanley, Credit Suisse First Boston and Deutsche Bank. I then served as the general counsel for a wireless technology startup in downtown Manhattan and spearheaded the startup's efforts in establishing a NYC wireless homeless management information system. Prior to attending law school, I worked as a TV promo for Sony Music Entertainment in Asia, working with channels such as VH1, MTV and local TV stations in the promotion of Sony artists such as Mariah Carey, Celine Dion, and the Fugees.

I am glad that clients educate themselves, particularly when it facilitates my efforts to serve them cost efficiently.
Absolutely, when it makes qualitative and economic sense. The quality of the documents prepared makes a big difference. When it takes longer to review and fix a document, I will strongly suggest that the client take the cost effective path of having me draft it. I like to see what my client prepares; often I get good language and concepts that add insight and may be added to the final, prepared documents.
With respect to contract negotiations, it all depends on whichever method will achieve the best legal and economic results for the client. Sometimes, clients prefer that I communicate with the other party directly. However, there are also incidences where issues get resolved much quicker by having clients deal with each other directly, with attorneys advising in the background. With respect to litigation, I do not litigate. I do not coach clients wishing to litigate for themselves.
I enjoy the psychological and intellectual aspects of practicing law. Whether it be negotiating a contract, structuring a company, or clearing rights to a record album, the tasks are similar to those of playing chess- the moves are dependent on many factors--among them, the players' bargaining powers, their motives, the size of the transaction, the overall legal and business environments at that time, etc.. What is more, there is nothing definite with the law and I enjoy being involved with its evolution.
Having worked in the entertainment industry, a Wall Street law firm and a technology startup, with clients ranging from Grammy/MTV award winning recording artists, investment bankers to social workers and entrepreneurs, I have the versatility and skills required to work with clients and their parties from various professional backgrounds. Also, growing up overseas in various countries gave me the social skills to work with clients from various cultural backgrounds. So far through my clients' projects I have worked with companies and attorneys in Taiwan, China, France, U.K., Canada, Spain, Palestine, Liberia and Colombia. Last but not least, with an undergraduate degree in pre-medicine, I have the math and science aptitudes required to understand client subject matters covering the foregoing disciplines, whether it be reviewing stock option pricing terms or software module codes for licensing.
I enjoy building companies and guiding them through their early stages. I also enjoy anything that is creative. As a result, I chose to practice corporate and intellectual property law.
The ability to help people to start out on their own and to do something that they enjoy and believe in. What is more, there is nothing more rewarding than assisting small and mid-size client companies or individuals in their contract negotiations with established institutions and to prevail in such negotiations. When I see my one to three person startup clients' work or product being displayed, distributed or broadcasted through major channels such as Xbox Live, PRI-BBC radio and the Whole Foods Market, I feel very happy and proud of what my clients have accomplished and that I have participated in making it happen.
Since I am a solo practitioner my clients get to deal directly with me. Whereas I have an assistant who helps me with administrative tasks, I answer my own phone. When I am not available to answer, I return calls promptly, as I do not like to keep my clients waiting. I am also very accessible by email.
I treat my clients the way I would like to be treated if I were a client. I work like a team member, advise like a parent and negotiate like a lawyer. I have been told by my clients that I am very thorough, quick on my feet and personable.

Yes, it all depends on the nature of the consultation. If the consultation is more or less an informative one (client learning about my practice, me learning about the client's business), I do not charge. If the consultation involves discussion of substantive legal issues, then yes, I do charge. However, prior to a paid consultation, I will inform the potential client that it will be a paid consultation and to make the consultation worthwhile, I will specifically ask clients to bring information and prepare a list of questions that they have.
Yes, usually 30% of fees I anticipate to be incurred within the first month, which can range from $300 - $2,500.
