Firm Overview

We Utilize the Best Approach to the Practice of Law and "Maximize the Power of Our Partnerships."

A caring, helpful approach to legal services is worth little when your lawyer doesn't possess the skills and hands-on experience to resolve your legal problem. And the likelihood of having your legal challenge resolved successfully, quickly and cost-effectively is significantly diminished when your attorney fails to incorporate your input, answer your questions along the way, and put you at ease.

Property Tax Appeals - Property Taxes are assessed in the forms of Real Estate, Business Personal Property and Manufacturer's taxes. Unlike virtually every other tax corporations pay, property taxes are based on an Assessor's opinion of fair market value. The opportunity, therefore, is in building cases that lower the assessment

Tax
David Adam, a partner at UGBB can assist in tax matters as a Taxpayer Advocate in Back Tax Matters, as a Property Tax Appeal Representative, and to assist in Federal and Missouri Income, Sales and Use Tax disputes.
TAXPAYER ADVOCATE- BACK TAXES - Individual and Corporate Tax Liabilities

Dealing with large back tax liabilities can be intimidating - particularly when the IRS or other tax authorities employ collection tactics such as wage garnishments, bank levies and property liens. When this happens taxpayers can find themselves financially strapped and forced into dire economic circumstances, sometimes leading to bankruptcy. This situation can occur whether the taxpayer is a single individual, married couple or corporate entity. Taxpayers can be forced to sell their assets, their homes and/or shut down their business. The good news is that tax authorities have settlement programs available designed to help taxpayers resolve tax debts. Although taxpayers unquestionably have the right to negotiate directly with authorities, hiring professional representation to advocate and develop a solution may be the better alternative.

Assisting individuals or businesses (whether formed as a corporation, LLC or partnership) to develop a resolution plan requires special skill. At UGBB, we provide more than a "settle for pennies on the dollar" claim. Such a claim is not only misleading, but the approach is dangerous. Keep in mind that tax authorities serve a noble mission. For instance, the IRS Mission is declared as:

Tax authorities are charged to understand how and why tax liabilities accrued, receive an explanation as to when and how a workout plan will be designed, and ultimately to participate in resolving liabilities. Throwing authorities a settlement offer for "pennies on the dollar" won't cut it. Skillful advocacy entails presenting information succinctly and crafting a resolution budgeted on historical performance and available assets, while anticipating future recovery potential. This is key to engendering tax authority assistance. Many taxpayers need someone to run interference, design the plan, and communicate the proposed resolution to authorities because the taxing agency perceives the taxpayer has not been cooperative historically in other words the taxpayer has chosen not to "meet their responsibilities." That is when an advocate can help taxpayers to ensure that "fairness" is achieved.

Call David K. Adam, the lead tax matters partner at (314) 621-9550, or email him at dadam@ugbblaw.com for a free consultation if you need assistance with:

* Challenging Tax Due or Final Notice of Intent to Levy.
* Prevention or Release of Wage Garnishments.
* Release of a Bank Levy.
* Release of a Property Lien.
* Obtaining a Stay of Collection Proceedings.
* Penalty Abatement.
* Claiming Innocent Spouse Relief.
* Filing an Offer in Compromise.
* Negotiating an Installment Agreement.
* Employer Payroll Back Tax Liability.
* Sales and Use Back Tax Liability.
* Filing Delinquent Income, Payroll or Corporate Tax Returns.
* Audit Protection.
* Corporation, LLC, Partnership and/or Responsible Party Representation.

Whether you decide to retain an advocate or go it on your own, please understand the importance of taking immediate action to deal with back tax problems. Doing so will simplify a resolution by eliminating many legal stumbling blocks and the accrual of additional penalties. Quick action also reduces psychological and financial pressure while providing a quicker resolution to the crisis.

David Adam - Missouri Property Tax Law Lawyer - Property tax, sales and use tax, and myriad other state and local levies all fall under the heading of state and local tax ("SALT"). Many companies face complicated, inconsistent and constantly changing compliance issues in multiple jurisdictions. Tax laws can be vague and difficult to understand particularly without the benefit of specialists on staff. Our representation can lead to significant benefits for clients — above and beyond the associated expense. Upon incorporation of our solutions companies gain peace of mind to focus on their core operations — while enjoying the advantages of lower tax and related administration costs.

Our St. Louis, Missouri, firm focuses on two distinct areas of SALT practice — Property (Ad Valorem) and Transactional taxes.

Property (Ad Valorem) Taxes: Our firm manages assessment appeals for commercial real property, along with business personal property and manufacturer's taxes based on equipment values. We combine efforts with certified appraisers when necessary to best position our clients' cases.

Transactional Taxes: Our firm has the resources to efficiently address Sales/Use/Excise tax compliance issues to ensure no over-payment takes place, obtain refunds and represent clients in disputes with taxing authorities. We also have the expertise to provide solutions which minimize exposure and maximize transactional tax savings inclusive of Registration and License Fees.

David K. Adam, has an accounting background to supplement his law license, and served as a CFO, business developer and tax consultant for over 25 years. Call Dave at (314)621-9550.
