Commercial Real Estate
Commercial Construction, Financing, Leasing, Condominium Association Declaration Preparation and Governing Body Governance
The firm has experience in all forms of commercial real estate construction, finance, leasing, and mortgage and loan documentation transactions, as well as U.S. income tax deferred, Internal Revenue Code 1031 like-kind exchange transactions, the latter in both domestic and international contexts.
Additionally, Mr. Lindley was formerly the Chief Financial Officer for Trammell Crow Company - Commercial Division for its tri-county Miami-Dade, Broward and Palm Beach County market area, having over three million square feet of office, industrial and retail commercial properties under management.
Predominantly U.S. and state securities laws registration-exempt, private capital raise transactions, and U.S. Immigration and Citizenship Services Fifth Preference Immigrant Visa Program ("EB-5 Program") offshore private equity raise transactions.
Mr. Lindley has represented businesses and entrepreneurs in commercial and residential real estate, biotechnology, and other industry sectors in connection with raising capital in transactions exempt from registration under the U.S. federal and state securities laws, including in offshore-financed EB-5 transactions.

Mr. Lindley has also been involved in the registration of issuers' securities under the Securities Act of 1933 and issuers under the Securities Act of 1934, and presently maintains an "Of Counsel" relationship with a boutique local securities law firm for the handling of initial public offerings ("IPOs") compliant with the Securities Act of 1933 and the Securities and Exchange Act of 1934, and applicable state securities laws.

How did your firm decide on the primary area of practice(s)?

Having been a Florida Certified Public Accountant practicing in both public accountancy and as in-house chief financial executive in industry prior to becoming an attorney, my later attendance of law school and completion of legal course studies confirmed the significant inter-disciplinary confluence of my background as a CPA and the many legal practice areas relevant to an attorney's provision of relevant, value-added representation of entrepreneurial and business clients, including those in connection with the organization, lawful tax avoidance, operating, financing and exit strategies.

What experience or education distinguishes your lawyers from others?

I am a Florida Certified Public Accounting who practiced for approximately 10 years in both public accounting for large CPA firms, consulting clients ranging from smaller to medium sized and some large companies, both private and publicly traded organizations. While no longer practicing as a CPA, I maintain my license, including completing 80 hours of continuing professional education every two years as required to stay abreast of the development of important accounting pronouncements.
I also have obtained an MBA degree and have applied the esoteric knowledge of that degree's underlying curriculum to real-world business settings advising my employer clients regarding important financial and operating milestones in the operation of the business enterprise.
Finally, I advise clients about the important federal income tax implications relating to their prospective ventures.

Peter P. Lindley is a Florida lawyer with a diverse legal background in general corporate law, securities law, business taxation, real property transactions and title work. Mr. Lindley holds a Masters of Business Administration degree, is a Florida Certified Public Accountant, and for the decade prior to embarking on his legal career, practiced in public accountancy for a Big-4 CPA firm and as a Chief Financial Officer in industry. He is admitted to practice in the Southern District Court of Florida where he formerly represented various creditors and debtors in matters before the Bankruptcy Court.
