OGC Services LLC handles the day to day legal needs of small start-up to medium sized businesses on an on-demand cost effective basis an alternative to in-house general counsel or relying exclusively on expensive law firm counsel.

OGC works closely with its clients, gaining an in-depth understanding of the company's business activities and objectives. Because of this, OGC is able to provide focused, client-centered, advice and counsel on legal issues confronting clients on a daily basis, providing creative business solutions, valuable perspective and strategic advice to help advance business goals while mitigating risk.

In this role we:

--Develop a deep understanding of the client's business and strategic goals and objectives

--Establish relationships with the management team

--Identify potential legal issues and devising the best business solution not simply the best legal solution to help the client reach its goals

--Work with the management team to develop and implement legal strategies consistent with the strategic plan

--Help control outside legal costs through supervision of matters, monitoring of time and costs, and negotiation of rates

--Entity formation and internal operating or shareholder agreements

--General corporate business work

--Commercial contracts, licensing agreements and strategic transactions

--Trademark, copyright and other intellectual property protection

--Technology, software and Internet legal matters

--Litigation claims analysis and strategic counsel

--Corporate governance, board and shareholder resolutions, consents, directors meetings, shareholder meetings, and minutes

How did your firm decide on the primary area of practice(s)?

We enjoy helping a company grow its business while managing risk. We want to be an integral part of the day to day business team -- a strategic resource and trusted advisor to the owners or management team.

What experience or education distinguishes your lawyers from others

Very broad business, corporate and legal background. In addition to holding many roles as General Counsel, In-House counsel, and Outside General Counsel for companies of all sizes, the attorneys understand the business issues facing companies daily, and the impacts of decisions on legal matters, having been key members of executive teams in addition to holding various corporate business roles (HR, Procurement, Quality, Sales, Founder)

What distinguishes your law firm from others?

Enable small companies and start-ups to get high quality legal/business services at a reasonable fixed price -- services they may otherwise not be able to afford. Enable companies to have ongoing experienced Outside General Counsel when they are not yet in a position to hire in-house counsel.

I think that is terrific -- all business owners should understand the legal environment they operate in.

I am a broad based, multidimensional and versatile corporate/business attorney who has years of experience as General Counsel, Outside General Counsel and Corporate Counsel for small start-up, medium size, and large companies handling all aspects of the companies' legal work, including contracts and transactions, formation issues, licensing and intellectual property (including trademark, patent and copyright), labor and employment, compliance, risk management and governance.

I enjoy assisting and otherwise helping a company get established, grow its business, comply with applicable laws and regulations, protect its assets (risk management), and keep out of financial and legal trouble.
