Firm Overview

Responsible for managing firm with a broad business litigation and transactional practice. Worked in capacity of general counsel for clients, independently managing and resolving legal matters, successfully handling approximately 200 litigation and pre-suit consumer claims for one such client during 2015 and 2016. Developed a nationwide network of trusted "local counsel" to collaborate as necessary. Studied each client's industry, staying abreast of developments and trends to become a more effective advocate and strategist. Working closely with corporate management to proactively formulate and evaluate long and short-term strategies consistent with industry trends and client business plans, processes, and strategies. Areas of proficiency include:

-serve in general counsel capacity for business clients;

-interface with client management and staff to gather necessary information to analyze, to efficiently advise key management, and to strategically manage transactional and litigation matters while adjusting as necessary to differing local rules, practices and customs;

-provide an efficient, thoughtful and responsible interface between local/litigation counsel and corporate executives, managers and staff, facilitating interaction and flow of information between client personnel and local/litigation counsel and when applicable, insurance company representatives;

-negotiate and prepare retail and commercial leases;

-review, negotiate and draft various transactional documents;

-negotiate and draft commercial contracts including vendor and supplier agreements, Master Agreements/Statements of Work;

-advise, draft and litigate matters of contract/Uniform Commercial Code law;

-counsel as to entity formation and governance;

-counsel as to corporate and partnership governance and litigation;

-manage due diligence, negotiate and draft documents for business sales and acquisitions;

-negotiate and draft letters of intent;

-advise on employment matters;

-investigate and litigate employment claims before EEOC, State Departments and courts;

-advise clients as to executive compensation, severance and related litigation;

-negotiate and prepare executive employment and compensation agreements, sales representative

-agreements, and non-compete, non-solicit, non-disclosure agreements;

-manage an extensive national consumer law practice, defending and resolving multiple consumer claims on an individual and class action basis;

-manage regulatory and governmental inquiries, audits and reviews;

-interface and negotiate with insurance companies on coverage issues, litigation, claim management, and periodic bordereau reporting;

-manage litigation with banks/lenders;

-review and negotiate complex bank/lender agreements and asset-based lending strategies;

-conduct all aspects of real estate/construction defect and contract litigation;

-advise and litigate intellectual property issues;

-conduct fraud and fiduciary litigation;

-manage collection litigation, including post-judgment remedies;

-prosecute and defend shareholder/partner disputes;

-work with and negotiate with large credit card companies;

-negotiate and resolve disputes with municipal and governmental bodies;

-manage investigations and respond to regulatory inquiries and negotiate administrative resolutions, including Consent Orders when necessary.
