Our Litigation Department offers services from the initial investigative stage through trial and, if necessary, appeal, prosecuting and defending contractual disputes, claims of business fraud, claims of unfair and deceptive business practices, and collection actions. Services include:

Disputes with Banks
We have considerable experience in dealing with banks and other lenders, which includes forcing lenders to honor their contractual obligations under letters of commitment and preventing them from acting unreasonably and arbitrarily in the administration of existing loans and lines of credit. This is also referred to as Lender Liability. If you have been treated unfairly by a bank or other financial institution, we may be able to help.

Unfair and Deceptive Business Practices
GNF&P lawyers have significant experience in litigation of Unfair and Deceptive Business Practice claims. Shareholder Derivative Claims
We have represented many clients in Shareholder Derivative lawsuits. Very often, where there are multiple owners in a corporation, partnership or other business entity, one or more people may take actions that are detrimental to the business yet enrich themselves. For example, one person could steer contracts to a particular vendor for personal gain or take for himself an opportunity that rightfully belongs to the business. It is often necessary, after satisfying certain prerequisites, to bring an action in the name of the business against the wrongdoer(s). The attorneys at GNF&P have a great deal of expertise in bringing such actions and in forcing business entities to abide by their by-laws.

David Paliotti


David J. Paliotti has been a Partner at Greenbaum, Nagel, Fisher & Paliotti LLP since 1994. His practice is concentrated in business and consumer litigation, commercial and residential landlord-tenant litigation, and all types of real estate matters, including representation of developers, lenders, buyers, and sellers in real estate transactions, zoning and permitting. Mr. Paliotti has successfully conducted numerous trials and has litigated cases in the following courts:

Licensed to practice in Massachusetts, Mr. Paliotti is admitted to practice before the United States District Court for the District of Massachusetts, the First Circuit Court of Appeals, and the United States Supreme Court.

Mr. Paliotti lives in Marshfield, Massachusetts and is the Vice Chairman of the Marshfield Historical Commission. Additional interests include boating, snorkeling and competitive driving events.

Mr. Paliotti graduated cum laude from Boston College in 1982, majoring in Political Science, and is a 1985 graduate of Suffolk University School of Law. He is licensed to practice in Massachusetts and is admitted to practice before the United States District Court for the District of Massachusetts, the First Circuit Court of Appeals, and the United States Supreme Court.

Stephen A. Greenbaum


Stephen A. Greenbaum is a Greenbaum, Nagel, Fisher & Paliotti LLP partner whose practice is concentrated in the areas of real estate, commercial matters, and representation before city and state agencies. His significant expertise lies in zoning, land use, commercial conveyancing and development, condominium law, commercial and landlordtenant litigation. He also focuses his practice on commercial lending, both real estate and asset based. He has successfully represented clients before both city and state agencies regarding discrimination in employment and housing.

Mr. Greenbaum is a H.U.D. certified attorney with respect to FHA insured reverse mortgages and AV rated by Martindale Hubbell. He was the principal author of the first set of loan documents for Massachusetts statutory reverse mortgages. He was also the first Executive Director of Boston Rent Control. He has been a lecturer for M.C.L.E. on topics related to commercial real estate and reverse mortgages. He has received recognition for his work with senior home owners. He is an active member of the Massachusetts and Boston Bar Associations, as well as the Real Estate Bar Association of Massachusetts. Mr. Greenbaum formerly served as the President of the Board of Trustees of Homeowner Options For Massachusetts Elders, Inc.

Mr. Greenbaum has significant litigation experience in both District and Superior Courts. In addition to the Massachusetts State Courts, he has been admitted to practice before the U.S. District Court, the First Circuit Court of Appeals, and the U.S. Supreme Court. He has successfully litigated numerous real estate, zoning, and commercial matters, and has extensive experience at both the Massachusetts Appeals Court, and the Supreme Judicial Court.

Mr. Greenbaum earned his B.A. in Russian Studies from Lehigh University and is a graduate of Boston University School of Law and the National Institute of Trial Advocacy (NITA) litigation program.

Howard S. Fisher

Of Counsel

Howard S. Fisher is of counsel to Greenbaum, Nagel, Fisher & Paliotti, LLP, whose practice is concentrated in the areas of corporate and business law and litigation as well as commercial real estate conveyance, lending, and litigation. He also has significant experience in probate and estate litigation and personal injury litigation and arbitration. Mr. Fisher is an active member in the Massachusetts Bar Association and he serves on a panel of pro bono attorneys for Bet Tzedik Legal Services. He is a past member of the American Arbitration Association panel of arbitrators.

Mr. Fisher had extensive litigation experience in all trials courts including the Appeals Court and the Supreme Judicial Court in Massachusetts since 1972. He has successfully prosecuted and defended numerous matters involving real estate disputes, accounting between partners, commercial and residential landlord/tenant disputes, probate and will contests and an array of personal injury actions.

Mr. Fisher earned his B.A. in Government from Boston University and is a graduate of Suffolk University Law School (JD) where he was the Technical Editor of the Law Review and subsequently obtained a Masters of Law (LLM) in Corporation Law from New York University School of Law.

Mr. Fisher has resided in Needham, Massachusetts and Dover, Massachusetts for the past thirty-seven years and is quite active in civic matters and youth sports programs.

Sharon Petrillo

Sharon M. Petrillo joined the firm in 2001. She assists clients in all facets of real estate property matters including representation of developers, lenders, buyers, and sellers involving real estate transactions, zoning and permitting, condominium law, real estate litigation as well as general civil litigation. Ms. Petrillo also represents various local lenders in commercial transactions. She has represented clients in all levels of the Massachusetts Trial Court, the Massachusetts Land Court as well as before various zoning and permitting boards. She has significant experience in drafting and enforcing contracts and the formation of various legal entities such as limited liability companies, corporations, and trusts.

Ms. Petrillo is a member of the Massachusetts Bar Association and serves on the Board of Directors of a local, independent, private school. She is licensed to practice law in Massachusetts.

Ms. Petrillo was born and raised in Cambridge, Massachusetts and now lives with her family in Melrose, Massachusetts. She has participated as a volunteer Attorney for the Massachusetts Bar Association's monthly "Dial-A-Lawyer" program and has also provided legal advice to local callers for the WBZ radio program "A Call for Action."

Ms. Petrillo graduated from the University of Massachusetts earning a B.A. in English, and is a 2000 graduate of Suffolk University Law School.

Rebecca S. Kane

After clerking with us for a year, Rebecca S. Kane joined the firm as an attorney in 2010. Ms. Kane's practice focuses primarily on business and real estate litigation, but she also has experience in general civil litigation. Ms. Kane has represented clients in all areas of real estate matters including zoning, licensing and permitting, commercial and residential leasing, condominium law, and environmental law. She has also been involved in the representation of businesses and consumers in actions based on contract and consumer protection. Ms. Kane has experience with the formation of various business entities, as well as contract drafting and reviewing.

Licensed to practice in Massachusetts and New Hampshire, Ms. Kane is admitted to practice before the United District Court of Massachusetts and all state courts in Massachusetts and New Hampshire.

Ms. Kane attended Boston College, and received her B.A. from the school in History in 2007. During her four years at Boston College, she was a member of the school's Honors Program, and she completed a thesis in her fourth year which received Honors Distinction. Ms. Kane graduated cum laude from Suffolk University Law School in 2010, and in 2008 she received the school's Jurisprudence Award for achieving the highest grade in her Torts class. While at Suffolk, Ms. Kane was a staff member and editor of the school's Journal of High Technology Law.

Ms. Kane is originally from Derry, NH, and she resides currently in Newton, MA. Ms. Kane has volunteered at the South Coastal Legal Services Clinic, and has worked as an intern for the Rhode Island Attorney General's Office, White Collar Crime Unit. Ms. Kane is an avid runner and bicyclist, and has completed several marathons and races for charity. While at Boston College she was a member of the Varsity Women's Rowing Team, and a dancer/choreographer for the Dance Organization of Boston College.

Ms. Kane is an active member of the American Bar Association, the Massachusetts Bar Association, the Boston Bar Association, and the New Hampshire Bar Association.

Gina Mancini

Legal Assistant

Gina Mancini joined GNF&P in 2009. She is a legal assistant to the firm and Boston attorneys. Ms. Mancini works with clients to prepare purchase and sale agreements, wills, and homesteads. She prepares motions and complaints for criminal cases and required documents for civil litigation.

Ms. Mancini graduated from East Boston High School. She has Legal Assistant positions for law firms in the Boston area since 1996.

Lauren Ruggles


Lauren M. Ruggles joined Greenbaum, Nagel, Fisher & Paliotti LLP in 2007. Her practice concentration is in civil litigation. Ms. Ruggles handles business, landlord/tenant, general contract, and real estate disputes.

Ms. Ruggles is licensed to practice law in Massachusetts and is a member of the American Bar Association.

Ms. Ruggles grew up in Sunapee, New Hampshire. She was employed at Biogen, Idec and also clerked for Commissioner Frank J. Scharaffa at the Massachusetts Appellate Tax Board.

Ms. Ruggles earned a B.A. from Boston University in 2002 and is a 2007 graduate of New England School of Law.

Silvia Ponce


Silvia Ponce joined GNF&P in 2012. She is a Boston business law attorney and advises clients in real estate law and business law. Her practice focuses on Civil Litigation, Business Litigation, General Contract Law, Real Estate, and Landlord Representation.

Prior to joining GNF&P, Ms. Ponce worked as an Associate in the Greater Boston area. Her practice included real estate law, creditor's rights/FDCPA, landlord-tenant law, default law, housing litigation, loan modifications and forbearance agreements.

Ms. Ponce is a member of the Massachusetts Bar Association.

Ms. Ponce graduated with from Suffolk University School of Law and also holds a Bachelor of Arts in Political Science from the University of Miami. She is fluent in Spanish and French.

Ms. Ponce served as Legal Intern with the office of the United Nations: Counter-Terrorism Executive Directorate, where she collaborated with legal teams to analyze national policies.
