Biography

Ms. Chaney specializes in real estate law with an emphasis on financing, leasing, purchase and sale transactions and development. She is also a certified mediator, having trained with Orange County's CSP (Community Service Programs) Dispute Resolution Services Program.

Ms. Chaney represents lenders and borrowers in the origination, restructuring and participation of acquisition, construction and mezzanine financing secured by various types of real property, including office buildings, retail centers, hotels, and mixed-use and multi-family properties. Ms. Chaney has experience representing both landlords and tenants in all aspects of office, retail and industrial leasing. In addition, Ms. Chaney has extensive experience drafting and negotiating a broad range of commercial contracts.

Before joining Garrett DeFrenza Stiepel Ryder LLP in July 2012, Ms. Chaney served as in-house counsel to Placentia Recycling Inc. Prior to her experience at Placentia Recycling, Ms. Chaney was an associate with Schulte Roth & Zabel in New York, where her practice focused on complex financing transactions, commercial leasing, and acquisitions and dispositions of real property. Ms. Chaney is admitted to practice in both New York and California.

Mr. De Frenza specializes in real property law with an emphasis on commercial leasing, purchase and sale transactions, construction law, and financing.

Mr. De Frenza's experience includes drafting and negotiating ground leases and leases for office, retail, restaurant, medical use and industrial space. He handles purchase and sale agreements for unimproved land and for office, research and development, retail, apartment, industrial, restaurant and hotel properties. Mr. De Frenza also prepares reciprocal easement agreements, property management agreements, covenants, conditions and restrictions, and various development-related agreements with public entities and between landowners.

Mr. De Frenza's representation includes major insurance companies, real estate investment companies, real estate development companies, national and regional quick service and casual dining restaurant chains, national tenant representation of a real estate financial services firm, a wireless telecommunications company, property management companies and individuals. Mr. De Frenza also has provided real estate expertise in complex litigation matters involving real property.

Prior to co-founding Garrett DeFrenza Stiepel Ryder LLP, Mr. De Frenza was the supervising partner of the Business Group of the Orange County office of Pillsbury Winthrop LLP. Biography

John Garrett is Counsel to the firm. He has represented developers, investors and related parties in purchasing, planning, developing, financing, ownership, and leasing matters. Mr. Garrett's experience involves virtually all facets of the real estate industry.

Mr. Garrett has been a moderator, panelist and lecturer on California Continuing Education of the Bar and other land acquisition, development and financing panels, and has been a speaker on real estate development issues to the real estate industry. He has been included in The Best Lawyers in America, Real Estate Law, for its past several biennial editions. In the past, the California Real Estate Journal named Mr. Garrett among the best real estate lawyers in California. Annual editions of Los Angeles Magazine have included him in its list of Southern California "Super Lawyers."

Mr. Garrett is a former president of the Orange County Bar Association. He has served on the Board of Governors of a Claremont McKenna College international studies institute, on the Board of Trustees of the U.C. Irvine Foundation, and on the U.C.I. Dean's Advisory Council for the School of the Arts, and has been a lecturer at U.C.I.'s Merage business school for the past several years. He is a member of the Board of Directors of the Segerstrom Center for the Arts (formerly, Orange County Performing Arts Center) and currently serves on the board's Executive Committee, as chair of its Audit Committee, and on its Long Range Planning and Board Development Committees.

Ms. Ng specializes in corporate transaction, taxation and estate planning matters. She advises clients in a variety of business transactions, including corporate restructures, mergers and acquisitions, debt and equity offerings and real estate transactions. She has represented individuals, partnerships, small and mid-size businesses, and national companies from a variety of industries including manufacturing, real estate, agriculture, technology, medical device, professional services, retail and food service.

With an advanced degree in taxation law, Ms. Ng also handles U.S. and California income tax matters for corporations, partnerships, limited liability companies and individuals. Combining her background in corporate and taxation law, Ms. Ng is able to counsel clients comprehensively on the initial and ongoing structure of businesses and investments and to negotiate both the business and tax terms of corporate transactions and joint ventures. Ms. Ng also advises real estate developers and investors on California real property tax issues, dealer income tax and capital gains issues, and 1031 and 1033 tax-deferred exchanges.

For private and individual clients, Ms. Ng has experience advising clients on a broad range of estate planning and gifting matters such as the preparation of wills, revocable living trusts, durable powers of attorneys, health care directives as well as more sophisticated vehicles such as asset protection trusts and irrevocable defective trusts.

Mr. Ryder specializes in real property law with an emphasis on commercial development, leasing and institutional lending. He is also a mediator with the Dispute Resolution Services Program of Orange County's Community Service Programs (CSP), having trained with both CSP and with the Strauss Institute for Dispute Resolution, Pepperdine University School of Law.

Mr. Ryder's experience includes all aspects of acquisitions and sales, construction and permanent lending, office, commercial and industrial leasing, environmental matters, and mortgage lending restructures and workouts. He has prepared and negotiated industrial, office and retail leases used by some of the largest developers and property management firms in California, as well as construction lending, permanent lending and secured line of credit lending documentation for a number of regional commercial lenders.

Mr. Ryder's clients include major institutions with a wide variety of real estate needs, and small developers and commercial property owners with unique issues or problems requiring specialized skills and expertise. Henry R. Stiepel represents owners, investors, asset managers, and corporate users in industrial and commercial real property sales, acquisitions, financing, development, and leasing. Mr. Stiepel has more than 28 years of extensive experience in actively negotiating the acquisition, disposition, financing and leasing of office, industrial, R&D and retail projects.
