New Business Formation and Startups

Individuals with business ideas need legal help to properly start their business and protect their assets. While the thought of simply using an online-document-preparing service to form a legal entity sounds cost effective and easy it's actually more complex than what an online system is prepared to offer. For example, understanding the best legal entity requires proper analysis and forecasting. An individual should compare immediate business needs with future needs. A legal entity that satisfies immediate business needs may fail to support growth. On the other hand, failing to fully understand the best legal entity may have negative or unanticipated tax consequences. So in reality, while using an online legal solution to form your business may seem like a great idea, in hindsight it can have numerous damaging effects on your business. Starting a new business is hard enough. If you care enough about it, you should invest your time and resources right the first time. We assist individuals and existing businesses with legal-entity formations, corporate and business governance, shareholder agreements, articles of incorporation, bylaws, limited liability company member agreements, and other governing instruments.

Contracts

Once past the formation stage, businesses engage in numerous transactions that shape their financial success and stability. Whether your business starts with a business loan or signing a long-term lease, you must have legal resources to properly review and negotiate contract terms that don't place your business at disadvantage, or even worse, into litigation over terms that were not properly reviewed, discussed and negotiated at the onset. Its penny smart, but a buck foolish to save a little money during what should have been a proper contract review only to spend nearly $200,000 in attorney's fees for litigation. We offer efficient contract-review services for numerous transactions. Whether it's a loan agreement, services contract, new-business contract, employment contract, lease or real property transaction, we have the resources to support your endeavor. We also offer contract drafting services for those transactions that require a new instrument.

Business Litigation

It's unfortunate but not unlikely for a business to be involved in some form of litigation. While our firm's goal is to help every client avoid litigation, sometimes it's unavoidable. A customer may fail to pay your invoice for services and you will need to begin litigation to protect your interests. On the other hand, a dissatisfied customer may file a lawsuit against your business. A patron may bring a tort action (e.g. slip and fall or other personal injury claim) against your business. An employee (or ex-employee) may bring a claim against your business under California labor laws. Whatever the case, you must to protect your interests. We prosecute claims on behalf of businesses; and, we defend businesses when lawsuits are brought against the entity.

Compliance Services

A key factor in avoiding lawsuits altogether involves the upfront effort to setup policies and procedures to run the business in a risk-averse fashion. Just like governing instruments, such as bylaws, must be prepared at the onset of business formation to manage the legal entity's high-level operations, lower level policies and procedures must govern the day-to-day operations. This may include new employee start-up documents, screening, procurement of goods and services, contract procedures, policies on the use of company resources, and compliance systems for regulatory matters that govern a particular industry. We offer numerous compliance services to aid your business with risk mitigation.

How did your firm decide on the primary area of practice(s)?

We're business lawyers that understand business. We started our careers as businesspersons and entrepreneurs before becoming lawyers. Business law and litigation is where we can most contribute our skills, knowledge and experience. We have provided services to the financial services, real estate, and retail industries.

It is our mission to protect our clients from the consequences of failing to understand and heed governing laws and to ensure our actions are germane to our values. We value the good results from quality work, which ceases to exist in the absence of resolve, integrity, and passion for the law.
