New Business Formation
We help you choose the right business entity structure under which you will operate. We can attend to the preparation and filing of your the formation documents -- but only after checking to make sure the business name you have chosen is available at the state and, optionally, the federal level. If you have any existing intellectual property assets, we can advise you on the tax implications of any transfers into the new entity.
Contract Templates and Negotiations (vendors and customers)
Your company may already have contract templates which match up with the standards for your industry, but you may find that your largest (and most critical) suppliers and customers will demand that you accept their own contract forms as the basis for negotiations. In either case, there are certain Ã¢ÂÂfrequently negotiatedÃ¢ÂÂ provisions which have the potential to damage your companyÃ¢ÂÂs reputation (if you fail to comply with them) or worse. The obligations associated with some of these provisions may be so onerous that they threaten the viability of your business. We secure patent rights for inventions in numerous technological fields. We assist clients with a wide range of matters relating to the protection of trade secrets and confidential information. Our work includes the preparation and negotiation of agreements with employees restricting their employment and post-employment activities (e.g., assignment of inventions, non-competition, non-solicitation, and "right of first refusal" agreements), preparation and negotiation of nondisclosure agreements, creation of internal systems designed to preserve and protect trade secrets, preparation and negotiation of agreements with OEMs, VARs, and contract service providers designed to protect trade secrets, and litigation services associated with trade secret disputes.
