Example Cases

I am often called upon to advise my business clients on how to manage the succession of their businesses. Business owners often have not thought through how they will pass their business on to the next generation. Dealing with this issue raises some legal questions, but the toughest issues are personal. For example, how do you treat two children "equally" when one wants to work in the business and the other does not?

I frequently advise foreign business owners on how to conduct business in California. I find myself explaining the laws but also the business practices and customs in our state. This sometimes involves literally translating what a code section says or what a judge's order means.

Firm Focus and History

I work on all aspects of business law, including creating and operating C corporations, S corporations, LLCs, LLPs, general partnerships and limited partnerships. I advise owners on legal issues they confront, including the negotiation of contracts, collection of debts, enforcement of judgments, and selling or buying a business. I have a special interest in international or "cross border" issues and have represented business owners in California with ties abroad and foreign business people who conduct business in California.

I established my own practice in January 1996. Initially I worked in a number of areas, including wills and trusts, business law, workers' compensation and immigration law. I now emphasize business law, wills and trusts, and real estate.

Previous Employment Summary

I became an attorney in 1985. I worked for three years in large corporate firms in San Francisco and Palo Alto. In 1988, I decided to take a leave of absence from large law firms and went to Paris, France, where I lived for over four years. I met my wife in Paris, and our first child was born there. In 1992, we returned to California, and I worked for a large law firm in Novato, California for three years. In January of 1996, I was ready to set up my own practice.

Activities and Awards

I am a board member of the French-American Chamber of Commerce in San Francisco. I have been the President of my BNI chapter, Mid-Day Power Partners in Santa Rosa, California, since October 1, 2010.

What is your opinion regarding clients educating themselves on legal issues?

I find it much easier to work with clients who have spent some time learning the legal issues affecting their cases. I encourage this.

Are you willing to review documents prepared by clients?

I am happy to review documents prepared by clients. In fairness, I always warn clients that it is sometimes less expensive to have me prepare the documents than to have me review what they have done and try to correct any errors.

Are you willing to coach clients who want to represent themselves?

In general, I think this is fine. I try to determine in the initial interview whether the client really can handle the matter on his or her own.

Why did you decide to be a lawyer?

I enjoy working with logical puzzles and with math. I also love European history and languages. Working with business clients allows me to do things I am passionate about and to work with people I enjoy.

What work experience and education helps you be a better lawyer?

Certainly my education and work experience have sharpened my legal skills, which include logical thinking and careful analysis. But practicing law has taught me that legal analysis is often only half of the problem clients have. The other half is dealing with people. People who run businesses usually invest a lot of themselves in their enterprises and feel personally affronted when a partner, a customer or a competitor treats them unfairly.

Why did you decide on your primary area of practice?

I emphasize business law in my practice because I can work in a small firm and still work with clients who have questions about "cross border" issues. Ever since I was seven years old and living in Germany, I have been fascinated by history and by foreign languages. I followed this fascination in college, where I majored in European history, and in law school, where I took as many courses as I could about the legal systems of other countries and how they compare to the U.S. system.

What do you like best about your career?

I like the balance I have as an attorney. I can help business people plan to avoid conflicts and, when necessary, help them work out conflicts that have erupted. I get to use my logical and mathematical skills but also the people skills I have developed. A bonus is that I often get to work with people who come from other countries or who have family abroad.

Tell us about your law firm:

I work as a solo practitioner, so my clients work directly with me. My assistant, Linda, does a great job backing me up. I have created networks with other professionals to help me complete my legal projects in an efficient and cost-effective manner. For example, I represent a foreign business owner who conducts business in California. He was sued in a complex matter in a remote county; I used my network to locate a reputable local attorney who resolved the matter in a satisfactory manner.

What are your strengths and style?

I have excellent legal skills and a wealth of experience gleaned from practicing law for over 20 years. I have grown considerably as a person over the past two decades and relate well to people. In terms of style, I like to educate my clients and their business partners and try to develop a spirit of collaboration. I have found that businesses can fail when conflict takes over an owner's consciousness, and I want my clients to avoid that fate.

Personal Interests:

I love reading history and foreign languages. I lived in France for four years as a young man, and my wife is from France, so I spend a lot of time with French people and Francophiles. I also enjoy hiking and riding my bicycle in the parks near my home.

Fixed-Price Services and Fees

I often charge a flat rate for straightforward services, such as incorporating a business or drafting a buy-sell agreement. I need to talk to the client and his or her partners, if any, before quoting a flat rate.

I will spend 20 to 30 minutes on the telephone with a prospective client at no charge. I charge a flat rate of $200 to meet with clients in my office for a consultation that can last 60 to 90 minutes.
