Firm Overview

Homeier & Law, P.C. was launched in 2009 by Michael Homeier and Jor Law, who departed from large and prestigious firms, in an effort to design a practice built around the needs of clients. We aim to better serve clients whose needs are underserved by traditional law firms. Our firm departs from the antiquated and inefficient model of the large firms and is entrepreneurial in spirit and service. Our clients receive the sophisticated representation and depth of expertise expected from the top firms while still benefiting from the responsiveness and client attention that only a smaller firm can provide. With lower overhead and a more efficient infrastructure, we are able to provide tremendous cost-savings to our clients. Our clients range from wealthy individuals and small businesses to large and publicly traded companies.

Our firm has a wide variety of domestic and international clients requiring sophisticated representation. We are committed to providing the firm's varied and diverse clients with consistently outstanding representation, primarily in the area of corporate and business transactional law. Our experience has touched a wide range of industries, including financial services, entertainment, aviation, food and beverage, manufacturing, retail, and technology. Our practice includes: Corporations and LLC's; Finance and Mergers & Acquisitions; Securities; Technology and E-Commerce; Contracts and General Transactions.

We believe that excellent legal counsel should be accessible by businesses who do not desire to pay the outrageous fees demanded by the large firms. Our firm is built on the principles of legal excellence and providing practical advice geared toward achieving desired results. This allows us to make a distinctive and substantial impact for our clients. We see clients as our partners and truly understand that their success is our success.

How did your firm decide on the primary area of practice(s)?

I enjoy facilitating deals. At the end of any corporate transaction, two previously unrelated companies have reached an agreement that will serve their mutual best interests. It's rare in life that your job is to find and bring about a "win-win" situation.

What is your firm's point of view regarding clients educating themselves on legal issues?

To quote Sy Syms, "An educated consumer is my best customer."

Clients who have educated themselves about the law surrounding their legal issues are better able to communicate the key facts and circumstances that I need to effectively and efficiently represent them. Furthermore, clients who are aware of the complexity of the laws that govern their transactions can easily recognize the value that I provide.

Is your firm willing to review documents prepared by clients?

I work with my clients, especially start-ups and emerging companies, to structure arrangements that keep the costs as low as possible. To this end, I am happy to review (and mark-up if necessary) documents that my clients have prepared.

Is your firm willing to coach clients who want to represent themselves?

I work with my clients, especially start-ups and emerging companies, to keep costs down and when the situation allows for me to step back and let the client handle certain matters under my tutelage, I am happy to do so. Unfortunately, this is not an effective or efficient method for complex matters, but I make an effort to work with my clients to cut costs when doing so will not hurt their interests.

Clem Turner

I began my legal career in two large international law firms: Skadden, Arps, Slate, Meagher & Flom LLP and Brobeck Phleger & Harrison LLP, where I handled complex mergers and acquisitions, corporate finance, securities transactions and venture capital financings.

I left the "big firm" law practice to handle Business and Legal Affairs for a new media company, and assisted them in accomplishing a significant expansion of their operations. I followed this by undertaking Business and Legal Affairs duties for a film production company. I oversaw both legal and production duties for several feature films, music videos, television pilots and corporate projects before embarking into private practice once more.

Many lawyers pride themselves on the ability to provide highly detailed conceptual advice, encompassing all possible legal risks to their clients. Having spent several years with emerging companies with both business and legal responsibilities, I developed the ability to elaborate upon the legal concepts and provide practical business/legal advice which analyzes all aspects of the client's circumstances. This enables my client to make truly informed decisions and prioritize where his or her limited resources will be focused.

Experience - Over the course of my career, I have provided counsel in corporate and entertainment transactions with an aggregate value totaling over $6.5 billion.

Negotiation - I zealously, logically, yet respectfully advocate your position to opposing parties, which has led to many successful contractual negotiations.

Flexibility - Sometimes parties become stuck in apparently irreconcilable positions. I have often been able to resolve these impasses with innovative solutions that meet both parties' needs.

I try to have an instructive and collaborative style with my clients, as this ensures that I will be able to craft the deal and draft the documents that they need to run a successful business.

I try to have an open and respectful style when dealing with the people on the other side of the table. I find it makes it much easier for my clients when I have a cordial relationship with my opposing counsel. Although this is not always possible, generally "you get more flies with honey than you can with vinegar."

Personal interests:

I enjoy games of strategy, like chess; I also enjoy outdoor activities and indoor quiet time, depending on my mood. I am just as likely to go out for a five mile bike ride or settle down with a good mystery or sci-fi novel. I also love independent film.
